Position:
Corporate Paralegal III Location:
300 N Commons Blvd; Woods Bldg Floor 2 ; Mayfield Village, 44143 HYBRID- (min 2 days in office - possibly more)
Duration:
3 months At least 8 years of experience as a corporate transactional paralegal. Technical Skills & Experience Microsoft Excel Microsoft OneDrive Microsoft Teams SharePoint and Planner Demonstrated ability to perform sophisticated legal research and analysis; Expert user of electronic research tools such as Intelligize. Proficiency in navigating online data rooms (e.g., IntraLinks) Extensive experience with corporate transactions, including equity or debt investments and offerings, venture capital transactions, and merger and acquisition transactions. Subject matter expertise in Ohio and/or Delaware corporate law. Experience with Section 16 filings and related public company requirements. Strong project or transaction management skills, including the ability to coordinate multiple stakeholders, manage competing priorities, and track deliverables across complex projects. Strong written and verbal communication skills. Responsibilities/Strategic Transactions Support corporate transactions, including data room management, due diligence coordination, due diligence review and documentation, drafting signing and closing deliverables, managing internal approval, signing and closing mechanics, and supporting related post-closing matters. Draft and review disclosure schedules and transactional documents, assist with antitrust and other regulatory filings, assist with post-closing integration matters for the legal function, and coordinate legal matters for other business units. Assist in the development and maintenance of transaction playbooks, diligence frameworks, closing checklists, integration playbooks, precedent documents, templates, and other process documentation to support future corporate transactions, strategic initiatives, and legal operations. Collaborate with cross-functional teams and coordinate with outside counsel and advisors. Coordinate with signatures for transactional documents and SEC filings and notarize various documents when needed. Conduct research on related matters, including corporate statutes (including Ohio and Delaware
