Schedule:
Full-time preferred; part-time may be considered for the right candidate. Hybrid work available after onboarding based on firm and client needs. What You'll Do You'll play an important role in supporting attorneys and clients across a range of business and transactional matters, including: Prepares documentation for the formation, foreign qualification, and dissolution of various entities (e.g., corporation, partnership, LLP, LLC, LP, PC and nonprofit). Support mergers, acquisitions, financing transactions, and due diligence projects, with a heavy emphasis in healthcare transactions. Prepare and manage corporate records, minute books, annual reports, resolutions, and related filings. Handle stock issuances, stock transfer records, and corporate governance documentation. Prepare and file UCC financing statements, Secretary of State filings, and other regulatory documents. Conduct legal and corporate records research. Prepare closing documents and closing books. Draft deeds, contracts, lease-related documents, and other transactional materials. Assist other practice groups as needed. Qualifications include:
3+ years of corporate legal assistant/paralegal experience in transactional law, corporate governance, entity management, or real estate, with regular responsibility for many of the tasks listed above. Additional experience in litigation and/or bankruptcy is a bonus. Takes ownership with high initiative and follow through on projects/assignments to completion. Be flexible and adaptable to changing priorities and workflow. Strong organizational, proofreading, and communication skills Ability to manage multiple priorities and work independently. Excellent judgment, attention to detail, and follow-through. Proficiency with Microsoft Office and Adobe Acrobat; experience with NetDocuments or similar document management systems is preferred.
