Paralegal Great Expressions Dental Centers - 2.7 Southfield, MI Job Details Full-time 1 day ago Qualifications Managing projects Productivity software Full Job Description What you'll do… The Corporate/Litigation Paralegal will handle a wide range of legal issues at GEDC, which will include, without limitation, tracking open cases and insurance claims, supporting GEDC's attorneys in whatever capacity is required, and in certain instances, providing advice and counsel to other members of GEDC's management on areas of the law impacting the organization. The Corporate Paralegal will work under the supervision of the Chief Risk Officer and General Counsel. This position is located at our corporate office in Southfield, MI and has a hybrid schedule of Monday, Tuesday, Thursday in office and Wednesday/Friday remote. What you'll bring to the team… Provides contract support for standard corporate agreements, such as non-disclosure and confidentiality agreements, routine leasing amendments, doctor contracts and amendments, marketing agreements, consulting and staffing agreements. Manages open litigations and insurance claims. Assists in the due diligence and integration processes with respect to mergers, acquisitions and affiliation opportunities. Maintains and files corporate records, including resolutions, board of director changes, annual reports, etc. Coordinates and receives board and committee signatures for documents and materials. Creates documents related to new corporate entity formations, maintains annual filings of all corporate entities to ensure that all entities remain in good standing in their respective states of organization and in each state in which they are qualified as a foreign entity. Provides administrative support for documents and activities related to corporate restructurings and entity dissolutions. Interacts professionally with internal and external entities, including government agencies, business partners, and law firms to gather information or data. Performs legal, factual and legislative research to identify issues related to a variety of matters pertaining to the organization. Works with outside counsel to maintain GEDC's intellectual property portfolio. Produces documents related to the development and implementation of corporate policies and templates. Works with other members of the legal team on special projects and initiatives. What we require you to have… Excellent organizational skills. Must have significant understanding of legal process, familiarity with legal terms and concepts. Must have an ability to comprehend and provide support in large and complex legal matters. Must have an ability to work independently on routine matters in a fast-paced environment, but seeks guidance and supervision on more complicated matters. Must have excellent written and verbal communication skills, with strong drafting skills suitable to complex and sophisticated matters. Must be able to handle highly sensitive and confidential information with discretion and in a manner that is efficient and productive to management decision-making. Must have a proven ability to manage multiple projects with correct prioritization and time management skills. Must have strong computer skills and familiarity with Microsoft Office, WestLaw and/or Lexis. Education & Experience… Bachelor's degree or paralegal certificate and 2 years related work experience in a legal environment preferred In lieu of a degree or paralegal certificate, 4 years paralegal-level work experience. Healthcare experience is a desired, but not required. About GEDC...
