M&A Associate Attorney πŸ“ Pittsburgh, PA | Full-Time | On-Site Salary will be based on the candidate's experience and other job-related factors, in accordance with applicable law. Our award-winning law firm , headquartered in Pittsburgh, PA , with a second office in New York City , is actively seeking a skilled M&A Associate Attorney to join our Corporate Group . With a strong focus on corporate law, mergers and acquisitions, private equity, and securities transactions , we are looking for a driven associate ready to make an impact on high-profile, complex deals. This is a fantastic opportunity for a mid-level attorney who thrives in a fast-paced, collaborative environment and is eager to work closely with experienced partners and sophisticated clients. 🎯
Essential Duties & Responsibilities:
Assist in structuring, negotiating, and executing M&A transactions , including asset purchases, stock purchases, and mergers Draft and review key documents such as purchase agreements, letters of intent, and disclosure schedules Conduct legal due diligence and identify transactional risks Advise clients on corporate governance, regulatory compliance, and contractual obligations Coordinate with internal teams, clients, investment bankers, and opposing counsel to facilitate smooth deal execution Provide day-to-day corporate legal support to clients, including portfolio companies of private equity clients Stay current on evolving M&A and corporate regulations Support senior attorneys in deal negotiations and client communication βœ…
Qualifications:
J.D. from an accredited law school Active Pennsylvania Bar license (or eligibility for admission) 3-8 years of experience in M&A, corporate law, or securities transactions at a law firm Strong drafting, negotiation, and analytical skills Ability to manage multiple transactions and meet tight deadlines Excellent attention to detail and problem-solving skills Strong verbal and written communication abilities Salary commensurate with candidate experience and other job-related factors permitted by law.
