Job Description
We are looking for an experienced Associate General Counsel to provide strategic legal guidance and ensure compliance with applicable laws and regulations. This role involves advising senior leadership on complex legal matters, managing contractual agreements, and supporting the organization's business initiatives. The ideal candidate will have a strong background in corporate law and a proven ability to navigate high-stakes negotiations.
Responsibilities:
- Develop and implement policies to ensure compliance with legal and regulatory standards.
- Provide strategic legal advice to executives on corporate governance, risk management, and business decisions.
- Draft, review, and manage a variety of legal documents, including contracts, filings, and agreements.
- Represent the organization in negotiations to safeguard legal interests and achieve favorable outcomes.
- Collaborate with internal teams to address legal issues related to mergers, acquisitions, and corporate transactions.
- Conduct thorough legal research to support decision-making and mitigate risks.
- Oversee corporate governance practices to ensure alignment with industry standards and regulations.
- Monitor changes in laws and regulations that may impact the organization, recommending necessary adjustments.
- Assist in resolving disputes and managing litigation as required.
- Support the organization's growth strategies by providing insights on legal implications.
- Extensive experience in corporate law, including mergers and acquisitions, corporate governance, and commercial contracts.
- Proven ability to draft and negotiate complex contracts and legal agreements.
- Strong knowledge of regulatory compliance and risk management principles.
- Excellent communication skills to effectively convey legal concepts to non-legal stakeholders.
- A Juris Doctor (JD) degree from an accredited law school and membership in the state bar.
- Demonstrated ability to manage multiple priorities and work under tight deadlines.
- Exceptional analytical skills to evaluate legal risks and develop sound strategies.
- Experience advising senior leadership and collaborating with cross-functional teams.
