Job Description

Position Summary:
We are seeking a highly skilled Senior Counsel, Commercial Transactions to lead and support complex commercial negotiations and provide legal guidance across a wide range of business transactions. This role will partner closely with sales, procurement, product, and executive teams to structure, draft, and negotiate strategic agreements that drive business growth while managing risk.
Key Responsibilities:
Draft, review, and negotiate a broad range of commercial agreements, including SaaS, licensing, vendor, distribution, reseller, partnership, and professional services agreements. Advise internal stakeholders on contract structure, risk allocation, regulatory implications, and dispute resolution. Lead deal negotiations from start to finish, collaborating with sales, finance, and operations teams. Develop and maintain templates, playbooks, and contracting processes to improve efficiency and ensure consistency. Provide legal support for new product launches, go-to-market initiatives, and international expansion. Stay informed on legal developments impacting commercial and technology transactions. Support contract operations improvement initiatives.
Requirements Qualifications:
J.D. from an accredited law school; admitted to practice and in good standing in at least one U.S. jurisdiction. 7-12+ years of experience, with a strong focus on commercial transactions—ideally a mix of law firm and in-house experience. Deep understanding of contract law, risk allocation, and negotiation strategy. Experience supporting B2B technology or SaaS contracts strongly preferred. Excellent communication skills with the ability to influence and advise business stakeholders at all levels. Strong business acumen and pragmatic, solution-oriented mindset.
Preferred:
Experience working with global teams or international contracts. Familiarity with data privacy, IP, and regulatory issues in commercial contracting. Pay:
$120,000.00 - $145,000.00 per year
