The Opportunity This is a high-impact, temporary-to-hire opportunity for an elite corporate paralegal looking to operate at a level equal to or beyond that of a junior associate. Working within the dynamic Corporate Practice Group, you will independently manage substantive transactions, maintenance, and compliance projects with minimal supervision. This role is ideal for a seasoned professional looking to leverage advanced corporate knowledge in a fast-paced, prestigious environment that rewards initiative, technical mastery, and independent judgment. The Location This role offers a flexible, hybrid work environment based out of the firm's offices in Chicago. Candidates must be within a commutable distance to their home office for a standard Monday through Friday, 9:00 AM - 5:30 PM schedule, collaborating seamlessly across offices nationwide.
What You Will Do Cap Table Management:
Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software.
Transaction Execution:
Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation, Amendments, consents, merger documents, closing books, electronic closing sets, and short‑form closing deliverables.
Securities & Regulatory Filings:
Prepare drafts and execute Section 16 filings, utilize
SEC EDGAR
Next, and conduct comprehensive Blue Sky research and filings.
Entity Formation & Maintenance:
Assist with the formation of corporations, LLCs, and 501(c)(3) entities; draft by-laws, prepare stock certificates, and maintain physical and electronic minute books.
Data Room & Document Control:
Manage HighQ and Box data rooms, organize matter files, develop and monitor closing checklists, and administer signature packets via DocuSign and SimplyAgree.
Corporate Governance:
Prepare UCC searches, draft documentation for filings with Secretaries of State, the Department of Corporations, and other agencies, and compile annual reports. 90-Day Success Roadmap First 30

Onboard with the firm's specific tools and procedures; integrate into the Corporate Practice Group; take ownership of ongoing data room management (HighQ/Box) and immediate transactional signature routing via DocuSign/SimplyAgree. First 60
Days:
Independently handle entity formations and routine corporate filings; manage complex capitalization tables across client portfolios using Carta and Pulley; interface seamlessly with attorneys to coordinate closing checklists. First 100
Days:
Fully operate as a primary technical resource within the team; execute complex Section 16 and
SEC EDGAR
Next filings with virtually no supervision; mentor junior paralegals and case assistants.
Who You Are Experienced Corporate Legal Professional:
10+ years of paralegal experience specializing heavily in corporate law, with a deep understanding of corporate capitalization, the Securities Act of 1933, the Securities Exchange Act of 1934, and California/Delaware Corporations Codes.
Software Super-User:
Direct, hands-on experience utilizing equity management tools like Carta and Pulley , electronic data rooms ( HighQ and Box ), signature platforms ( DocuSign and SimplyAgree ), and compliance tech ( SEC EDGAR Next ).
Highly Autonomous & Resourceful:
Proven ability to manage massive volumes of data, anticipate attorney needs, exercise impeccable independent judgment, and operate with a level of expertise akin to a junior associate.
Credentialed:
Possess a Bachelor's degree (preferred) or a Paralegal Certificate. California-based candidates must strictly meet all California Paralegal Requirements.
