Job Description

Executive Assistant/Corporate Secretary — Claverack Electric 5.0 5.0 out of 5 stars Wysox, PA C&T Enterprises, Inc. provides management support services to the electric, gas utilities, and telecom sectors and is currently seeking an Executive Assistant / Corporate Secretary to join our team.

Location:

This position will be located at the Claverack Rural Electric Cooperative (REC) headquarters in Wysox, PA.

Reporting Structure:

This position reports to the President & CEO of Claverack REC and the President & co-CEOs of C&T Enterprises.

Primary Function:

This position provides high-level administrative support to the President & CEO(s) and the Boards of Directors of Claverack REC and C&T Enterprises. It coordinates a variety of activities related to governance, administration, and human resources functions for both organizations. Additionally, the role offers management support and serves as a representative of the Claverack REC President & CEO in their absence.

Qualifications and Skills:

To be successful in this role, candidates should demonstrate the following qualifications and competencies:

Education/Certifications:

An associate degree in Business Administration or a related field is required; a Bachelor’s degree is preferred. A combination of education and directly related experience that demonstrates the ability to perform the responsibilities of the position may be considered.

Experience:

A minimum of three years of directly related administrative or executive support experience is required.

Technical Proficiency:

Proficiency in Microsoft Office Suite and other PC-based systems, with the ability to create professional presentations, correspondence, forms, and organizational charts.

Industry Knowledge:

Familiarity with electric distribution operations, energy sector issues, and regulatory matters relevant to electric cooperatives. Understanding of the cooperative business model and the relationship between the cooperative and national, state, and local associations.

Interpersonal and Professional Skills:

Effective communication and relationship-building skills, both in-person and via telephone. Motivated self-starter with excellent organizational and time management skills. Ability to work independently and collaboratively while managing multiple priorities effectively. Demonstrates high ethical standards, including respect for a diverse workforce, accountability, integrity, and commitment to organizational values. Maintains strict confidentiality and discretion when handling sensitive member information and records.

Responsibilities:

As the Executive Assistant / Corporate Secretary, the candidate will be responsible for the following:

Administrative Support:

Provide comprehensive clerical and administrative support to the CEO, Board of Directors, and committee chairs. Ensure all administrative needs are met promptly, accurately, and professionally.

Schedule Management:

Monitor and manage calendars, schedules, and due dates for the CEO and Board of Directors. Coordinate with management, staff, and stakeholders to ensure timely completion of responsibilities.

Board Documentation:

Prepare and maintain official board documents, including resolutions, monthly board reports, and governing documents such as bylaws and policies.

Meeting Preparation and Follow-Up:

Gather information from staff and management to prepare board agendas and meeting packets. Record, transcribe, and distribute meeting minutes. Track and follow up on post-meeting action items.

Leadership Support:

Serve as a member of the senior management and staff teams. Represent the CEO in their absence and set a professional example for support staff.

Meeting Participation:

Actively participate in regular management and staff meetings, offering administrative insights and support.

Policy Management:

Assist in developing and updating organizational policies. Maintain official policy records and distribute updates as needed.

Travel and Event Coordination:

Arrange travel, accommodations, and meeting registrations for the CEO, Board of Directors, and guests.

Training Records:

Schedule and maintain accurate records of director training and certifications.

Records Management:

Maintain secure and organized files for the CEO and Board of Directors, including minute books, annual meeting documentation, policies, and bylaws.

Meeting Planning:

Coordinate meals, committee meetings, strategic planning sessions, and other events related to the Board, management, and staff.

Annual Meeting Support:

Assist in planning the Annual Meeting of Members. Manage the director election process, support the Credentials & Elections Committee, prepare new director orientation, and oversee director search processes as needed.

Internal Event Planning:

Help plan and coordinate internal events such as all-employee meetings, award banquets, and retirement celebrations.

Calendar Management:

Maintain the daily calendar for the CEO and Board of Directors. Coordinate and create the “All Companies” annual calendar.

PAC Coordination:

Oversee and coordinate Political Action Committee (PAC) memberships and related activities for cooperative employees.

Subscription Management:

Maintain and update NRECA subscriptions and the PREA Directory for the CEO, Board of Directors, and employees.

Community Contributions:

Prepare community donations from escheated funds and assist with annual compliance certifications and related documentation. Support communication with organizations involved in the program.

IRS Reporting Support:

Track and report Claverack Director hours of service for IRS Form 990.

Claverack Communications Support:

Provide administrative support to the CEO, Board of Directors, and management/staff for matters related to Claverack Communications.

Other Duties:

Perform other duties as needed to support the goals and operations of Claverack REC, Claverack Communications, LLC (a subsidiary of Claverack REC), and C&T Enterprises.

Special Working Conditions:

Subject to call out during outages or other emergencies. Irregular working hours may be required based on job demands. Occasional travel is required to attend training sessions, conferences, and other meetings. The work schedule may be subject to change. How to
