POSITION SUMMARY
Heelstone is seeking a Corporate Paralegal/ Contracts Manager. The ideal candidate will support Heelstone’s legal team across all service areas, with a primary focus on corporate matters and commercial contracts management, as well as in the areas of development, finance, mergers and acquisitions, real estate, and operations and maintenance.
RESPONSIBILITIES INCLUDE
Organize, maintain and track important entity, project, and legal documents. Drafting and reviewing of legal documents, including a variety of contracts (nondisclosure agreements, master service agreements, purchase orders, scopes of work, and amendments thereto), legal notices, and corporate documents. Contract management and tracking, including version control, exhibit management, and following up with key team members and counterparties on outstanding tasks to maintain and meet deadlines. Coordination of contract execution and documentation of key contract terms. Entity management in tandem with outside vendors (Cogency Global), including forming and dissolving LLCs, maintaining accurate entity records, and ensuring accurate and timely annual report filings. Receive and process Service of Process. Assist in scheduling important meetings and coordinating meeting invitations. Research legal issues and draft research memos. Collaborate with legal team and business team colleagues. Minimal travel potential, 5-10% of time
REQUIRED SKILLS
Minimum of 3-5 years of experience in drafting, negotiating, tracking and enforcing commercial contracts. Attention to detail. Ability to support in drafting and follow-up of correspondence with stakeholders. Strong sense of accountability, taking ownership over projects and responsibilities and resolving issues proactively. Ability to work concurrently on a variety of projects, prioritize efforts, and work effectively under pressure Excellent oral and written communication and presentation skills; and • Strong organization and management skills. EDUCATION & TECHNICAL SKILLS
B.S or B.A degree from an accredited college or university is preferred; a minimum of a 2-year associate’s degree or comparable certification is required. Prior experience in renewable energy or commercial real estate or financial transactions preferred but not required. Active notary public appointment strongly preferred.
