CORPORATE DEVELOPMENT ANALYST JOB PURPOSE

Execute Nord Anglia’s growth strategy by providing research and transactional support in the sourcing and execution of acquisition transactions.

JOB RESPONSIBILITIES

Research / Data Collection  Collect market, sector or company data on the internet and third-party databases, and through primary research sources such as banks, advisors and schools, etc.  Manage and update the Corporate Development pipeline with new acquisition targets, as well as detailing progress on existing projects.  Manage and update databases of international schools around the world and private and public transaction multiples for the education sector through research sources such as specialized consultancy groups and industry news reports.  Support the organisation in identification of potential opportunities in line with the Corporate Development Strategy.  Prepare presentations and studies on researched markets/sectors/companies.  Gain necessary market and sector knowledge and knowledge of market participants; perform geographical markets and education sub-sectors analysis: regulatory framework, size, trends, players, barriers to entry, etc. Acquisitions  Participate in all phases of the transaction such as LOI, IM reviews, due diligence, structuring, negotiation, legal documentation, integration planning, etc.  Develop and manage the transaction dataroom, coordinate with external advisors and internal working teams on dataroom material preparation and collection.  Analyse financial statements and data, and prepare complex financial models, taking into account the impact of acquisitions to Nord Anglia from financial and operational perspectives.  Benchmark potential targets against Nord Anglia Educations existing schools .  Prepare investment cases for Nord Anglia’s Executive Committees and Board for investment approvals.  Manage and update transaction budgets. Integration and project monitoring  Assist the Corporate Development team, and the central support functions and regional offices in:  Preparation of integration plans and reports  Tracking of investment plan delivery: budget, actual, forecast  Support on special projects: annual Corporate Development Team budgets, five-year plan, reporting, tax, etc.

TEAMWORK

 Seek regular performance assessments from line manager to ensure that any difficulties with individual performance effectiveness are proactively managed in a way that reflects NAE’s core vision and values.  Work with all members of the Corporate Development team on multiple projects simultaneously.  Work with representatives of the group, including various central functions as well as regional operations teams across multiple projects. OTHER  To liaise directly with sellers, investors, advisors, sponsors, partners and government agencies to support and advance the Corporate Development Strategy.  Become an expert in Nord Anglia Education’s Corporate Development processes and investment criteria for acquisitions.  Ensure to meet the statutory responsibilities and Company policies with regards to Health and Safety, Equal Opportunities and other relevant legislation  Any other appropriate duties as allocated by senior management

PERSONAL SPECIFICATIONS
Essential:

 Strong academic background with a degree from a leading University  Experience working in a deal environment, preferably in (by order of preference)  Corporate M&A function  Private Equity or venture capital  Corporate Finance / M&A in a leading bank  Transaction Services with a Big 4  Management consultant with transaction experience from a top consulting firm  Outstanding analytical skills  Strong Excel financial modelling and valuation skills  Solid knowledge of financial accounting concepts and practice  Strong PowerPoint skills  Excellent written and oral presentational skills  Organisational skills, ability to pay attentional to detail without compromising the big picture  Understanding of “transaction environment and requirements”  Ability to work in partnership and collaboratively across organisational boundaries and different business sectors to solve problems and meet common objectives  A high level of accuracy and attention to detail

Desirable:

 Attained or working towards CPA, CA, CFA or equivalent qualifications  Experience of various markets and cultures  English.
