Top investment bank has an opening for an entrepreneurialDirector, Managing Counsel to provide business unit coverage with afocus on M&A, financial advisory and capital markets matters.

The Managing Counsel will partner with senior investment bankingleaders and have a strong understanding of both public and privateM&A transactions, financial advisory and capital marketstransactions (ECM/DCM). Client Details Investment bank. DescriptionThe Director, Managing Counsel will serve as the primary legalcoverage lawyer for all of the the investment bank’s M&A andfinancial advisory matters, advising both industry and productcoverage groups and partnering with senior leadership.

MainResponsibilities:

Draft, review, and negotiate M&A engagementletters and related documentation Review and advise on fairnessopinions, proxy disclosure and valuations Provide legal support tothe business in relation to capital markets transactions andrelated documentation, specifically: underwriting agreements,offering documents, placement engagement letters Provide legaladvice on M&A transactions, with a focus on public companytransactions Advise on ECM, Fixed Income Capital Markets andPrivate Placements Prepare standard forms, policies and proceduresfor the investment banking business Manage outside counsel oninvestment banking transactional matters Provide support to otherlawyers on the legal team Provide relevant training to the businesson a wide range of M&A matters Profile JD from US ABAaccredited law school 7 years of experience ideally gained in-housesupporting the front office on M&A and Financial Advisorymatters at an investment bank US State Bar Admission Deep M&Atransactional and advisory experience including experience draftingand negotiating M&A engagement letters Must have experiencewith and understanding of M&A valuations, fairness opinions,proxy disclosures, etc. Strong knowledge of and experience withrules and regulations as well as market practices applicable to USinvestment banking business Strong drafting and analytical skills,superior judgment and ability to access risk and keep businessmoving forward Excellent communication skills including the abilityto provide clear, concise and practical advice and guidance tosenior business partners Ability to serve as a trusted businesspartner and provide proactive solutions to the business Must beable to build strong working relationships with senior members ofthe bank and have the ability to provide training to front officepartners and to facilitate business in a risk-appropriate andcost-effective manner Excellent drafting and negotiating skillsAbility to simplify legal advice for multiple stakeholders within afast paced business Job Offer Base salary Cash bonus EquityExcellent benefits Hybrid working model Opportunity for growth 401(k) Page Group USA is acting as an Employment Agency in relation tothis vacancy.
