Job Description

Duties:

Execute strategic and corporate financial objectives for clients, including potential public offer-ings of debt and equity securities, mergers, acquisitions, divestitures, joint ventures, and private equity investments. Develop sophisticated financial models necessary to value businesses and assets and as-sess investments, reorganizations, acquisitions and other corporate transactions. Formulate revenue growth, margins, profitability, and cash flow and debt repayment projections. Gather, analyze, and pre-pare complex financial information to support strategic decision-making by the Board of Directors, man-agement teams, and new and existing investors relating to opportunities spanning mergers and acquisi-tions, restructuring, re-capitalizations, divestitures, and other transactions between corporations. Ana-lyze market, industry, and company trends and financial statements and other legal documentation of clients, competitors, and potential targets. Collect and synthesize financial and operational data relating to the composition, performance and sustainability of various aspects of businesses. Draft confidential information memorandums, offering documents and management presentations to market advisory and capital raising assignments. Assist in management presentations and facilitate due diligence sessions with multiple parties including potential investors, financial advisors, tax advisors, legal advisors, and industry consultants. Develop pitch books and Evercore marketing materials. Supervise and mentor jun-ior deal team members (Analysts and Associates), provide on-the-job training and career development. Develop detailed work plans with roles and responsibilities for all advisors and timelines associated with key activities such as due diligence, financing, shareholder approvals, regulatory approvals, investor re-lations and communications strategy, and post-acquisition integration planning.

Requirements:

Requires Bachelor’s degree in Business Administration, Economics, Finance or related field of study, and 5 years of experience as Associate, Consultant, Analyst or related jobs in a quantita-tive field in Finance, Business or related field. Will accept Master’s degree and 3 years of experience in lieu of Bachelor’s degree and 5 years of experience. Experience specified must include 5 years of experi-ence (or 3 year of experience if Master’s degree) with each of the following: deal structuring and closing principles; research, explaining market events utilizing quantitative and analytical skills; MS Office (Excel and PowerPoint); financial modeling; utilizing general accounting and finance principles; Bloomberg, FactSet, SNL/S&P Global; research resources such as The Deal, Mergermarket, Debtwire, Wall Street Journal and other industry publications. Requires up to 20% domestic travel. Telecommuting may be permitted within a commutable distance from the worksite in accordance with company policy.
