Director of HOA Governance Cold Spring Properties Townhouse Association IN 2626 East Oakland Park Boulevard, Fort Lauderdale, FL 33306

Description:

Vacatia is seeking a passionate and experienced Director of HOA Governance to lead the development and execution of governance strategies for our portfolio of timeshare resort Homeowners Associations (HOAs). This role will play a critical part in shaping and standardizing governance practices across our managed properties, ensuring compliance, operational efficiency, and effective board support. The ideal candidate will have a strong foundation in HOA governance and compliance, with a desire to build scalable processes that enhance the operational effectiveness of our resort boards.

Key Responsibilities:

1. Governance Leadership & Strategy Develop and implement a scalable, standardized governance framework for Vacatia-managed resorts, ensuring consistency and operational excellence across a diverse portfolio. Be intimately familiar with each association’s governing documents, including bylaws, CC&Rs (Covenants, Conditions, and Restrictions), and policies and procedures, to ensure alignment with state regulations and industry best practices. Partner with resort boards to design governance structures that align with best practices, state regulations, and Vacatia’s long-term business goals. Create and refine governance protocols that can adapt to varying HOA sizes, structures, and state-specific requirements. Continuously assess and improve governance practices to drive board effectiveness and operational transparency. 2. Board Support & Training Serve as a trusted advisor to HOA boards, providing guidance on board roles, responsibilities, and best practices. Develop and deliver training programs to enhance board members’ understanding of governance, financial oversight, and fiduciary responsibilities. Support boards in conducting effective meetings, strategic planning sessions, and transparent decision-making processes. Partner with boards on special projects related to governance and compliance, ensuring alignment with governing documents and regulatory requirements. Coordinate with HOA local counsel on complex governance matters, including document amendments, dispute resolution, and legal compliance. 3. Compliance & Regulatory Oversight Monitor changes in state and federal laws impacting HOA governance and ensure timely updates to governance documents and procedures. Guide boards on compliance with governing documents, election procedures, and regulatory requirements. Oversee the timely and accurate filing of required reports, disclosures, and legal documents. 4. Governance Optimization & Best Practices Establish transparent election processes and support boards in managing director transitions and succession planning. Develop tools, templates, and resources to streamline board operations and enhance overall governance quality. Continuously improve governance processes by refining conflict resolution strategies, developing policies, and enhancing decision-making frameworks. 5. Stakeholder & Industry Engagement Act as a liaison between HOA boards, resort management teams, and legal counsel to resolve governance-related issues. Stay current with industry trends and legislative changes to proactively advise boards on necessary adjustments. Represent Vacatia at industry conferences, association meetings, and professional events.

Requirements:

Bachelor’s degree in Business, Law, or a related field 5+ years of experience in HOA governance, community association management, or a related legal/compliance role. Strong understanding of HOA laws, governance best practices, and regulatory requirements. In person participation in board meetings is expected with ability to travel with some frequency Excellent communication and relationship-building skills. Ability to work effectively with board members, legal teams, and regulatory agencies. Strong organizational and project management skills.
