Position Summary The Compliance Officer is responsible for developing, implementing and administering all aspects of the Bank’s Compliance Management Program. This position plans, organizes, and controls the Bank’s day to day administrative, lending and operational compliance activities; collaborates with key management in the overall administration of these directives for the Bank. Participates in various committees, audits and examinations. Fulfills the responsibility of the Community Reinvestment Act Officer, and Regulation O officer to ensure compliance efforts are maintained on a daily basis. Conducts staff training related to new compliance. Advises the Board of Directors, Senior Management and Bank personnel of emerging compliance issues and consults and guides the Bank in the establishment of controls to mitigate risks. Ensures department activities run smoothly and efficiently by providing leadership, training and supervision. The position of Compliance Officer performs direct supervisory duties of assigned department staff, coordinates staff for coverage in assigned areas of the department, and is required to be fully knowledgeable and skilled in all areas of the department. This position reports to the CEO/President of First Guaranty Bank. Essential Duties and Responsibilities Advice The Compliance Officer should periodically advise the Board of Directors and senior management on compliance laws, rules and standards, including keeping them informed on developments in this area. Guidance and education The Compliance Officer should assist senior management in: educating staff on compliance issues, and acting as a contact point within the bank for compliance queries from staff members; and provide written guidance to staff on the appropriate implementation of compliance laws, rules and standards. Identification, measurement and assessment of compliance risk The Compliance Officer should implement and maintain a compliance program which identifies, documents and assesses the compliance risks associated with the bank’s business activities, including the development of new products and business practices. The Compliance Officer should develop ways to measure compliance risk and use such measurements to enhance compliance risk assessment. The Compliance Officer should assess the appropriateness of the bank’s compliance procedures, guidelines and policies, and promptly follow up on any identified deficiencies. Monitoring, testing and reporting The Compliance Officer should establish a program which includes monitoring and testing compliance by performing sufficient and representative compliance testing. The Compliance Officer should report compliance matters on a regular basis to senior management, and/or the audit committee which could include updates on the compliance risk profile for the bank, performance indicators, deficiencies or breaches identified in the testing and any recommended corrective measures along with the status of the foregoing. Statutory responsibilities and liaison The Compliance Officer will serve as a liaison with relevant external bodies, including regulators, standard setters and external experts. Compliance program The Compliance Officer should establish a compliance program which includes planned activities, such as the implementation and review of specific policies and procedures, compliance risk assessment, compliance testing, and educating staff on compliance matters. The compliance program should be risk based and properly coordinated with other risk management functions to ensure appropriate coverage across all businesses. Committee participation Chairs the Fair Lending, Mortgage Compliance, and Deposit Compliance committees and participates in BSA committees and those deemed necessary to maintain an understanding of the bank’s compliance risk profile. Regulation O Officer Identifies related interests of directors, executive officers, and principals shareholders (insiders) and maintains report of same. Reviews all insider credit requests to assure pricing, structuring, and collateral requirements cannot be deemed preferential. Assure each insider maintaining a transactional deposit account has an activated overdraft protection plan or has waived this program in writing. Community Reinvestment Act Oversees Community Reinvestment Act (CRA) Officer and the CRA program which includes the lending, investment, and service test requirements for five assessment areas throughout the state. Maintain the CRA public file and provide training to all new hires during the orientation process. Other Receive and respond to all written complaints and maintain Complaint Policy. Receive all lawsuits naming Bank as a defendant and coordinate action plan with legal counsel. Adhere to BSA/AML policy and all other bank policies. Other duties and responsibilities as may be assigned by supervisor. Minimum Qualifications (Education, Experience, Skills) Bachelor’s degree in a Business Administration or related field or equivalent relevant work experience. A compliance certification CRCM certification is desirable. A minimum of 5-10 years of experience in the banking industry with at least 5 in regulatory, compliance, audit, and/or credit administration experience. Direct compliance experience in a large community bank (approximately 1 to 3 billion) is desirable Proficiency in Microsoft Word, Excel, Outlook, and PowerPoint. Strong communication skills, both written and verbal. Strong organizational skills. Ability to prioritize and multi-task in a highly visible, fast paced, ever-changing environment. Ability to collaborate and form effective working relationships with other risk management professionals.
