The SD is responsible for loan servicing, monitoring and timely funding of loan proceeds; closely monitoring reporting requirements and managing information flow to the participants.
Duties and responsibilities include:
Review initial underwriting and structure for deals being internally screened Analyze the structure of the credit agreements to understand pricing grid, covenants and assignments Complete internal syndication memos and recommendations Manage syndication deal pipeline Create, review and update list of qualified partners Dialogue with lenders on a regular basis to develop real time knowledge of market conditions and lenders’ perspectives Review list of loans available for sale from other banks or brokers and evaluate the business of the borrowers, risk and pricing of the loans offered in the market Prepare marketing materials and efficiently administer data. Maintain and manage information flow on file-sharing site Develop relationships with other lenders and clients. Broaden CRE Syndications reach to new local market with new lenders Concentrate any communications with all counter parties related to corporate syndicated loans Post via secure-file sharing website all documentation (financial statements, operating reports, rent rolls, renewals) Review liquidity of the issuances to be traded for the prospective company Keep in file all relevant information obtained to perform analysis or validation.
Typical information obtained includes:
credit agreement and all amendments applicable to the incumber facility, S&P credit report for the borrower, term sheet or information memorandum, latest three Compliance Certificates showing the figures for the covenants in the credit facility, financial projections and executed confidentiality by both parties Follow up with applicable business units for the approval process of submitted companies. Ensure that the credit and legal reviews have been obtained before any purchase Inform new purchases/sales of loans to Credit Operations, Portfolio Management and other applicable units. Validate the loans purchased comply with all of the bank’s requirements Monitor companies under the syndicated program using different sources of information such as: S&P and Bloomberg. Announce significant changes in the financials of the companies under syndicated transactions, earning releases, rating/outlook changes. Investigate significant changes in the stock’s price of the incumbent company Ensure that a process for recording trades in Bloomberg transactional system is in place and keep all positions in a segregate portfolio Coordinate the closing of the syndicated loans purchased with the applicable units. Ensure confirmations are duly executed by Operations. Follow-up execution of Assignment and Assumption and ensure proper assignment is obtained from the borrower. Ensure all transactions are closed within the propose timeframe. Contact operations and counterparty to expedite the process Closely monitor reporting requirements and due dates Ensure procedural manuals are in place describing the process performed. Ensure processes are aligned with company policies and procedures Ensure that controls within the process are in place including segregation of duties, and provide supporting documentation as part of the company’s audits and examinations Ensure preventive measures are carried out to fully comply with current rules, regulations, internal policies and programs applicable to the activities described through these duties and responsibilities Review legal document negotiation balancing client needs with market terms Service and monitor loans and ensure accurate and timely funding Minimum Education and/or

Business Required Minimum Work Experience Requirements:
4+ years’ experience in banking and financial markets including experience in the real estate lending field, credit analysis/underwriting of projects, including real estate Technical and/or
Other Essential Knowledge:
Proven ability to develop and monitor a syndication pipeline Experience working in close collaboration and partnership with internal and external stakeholders Ability to develop policies and procedures and write technical manuals Proficiency using Microsoft Office 365 products including, Outlook, MS Word, MS Excel, MS Teams, and MS PowerPoint Travel required
