Position Summary:

The Manager, Financial Reporting(SEC External) is responsible for assisting in the preparation ofexternal, U.S. GAAP and SEC compliant financial statements,analysis of technical accounting matters and other ad-hoc projects.

The candidate must have a thorough understanding of and remaincurrent on new

pronouncements (see areas of focus below)and SEC rules and regulations as they are released and assess theimpact to the Company. The Manager of SEC External FinancialReporting will also be responsible for assisting in thedocumentation of internal controls over the financial reportingprocess in connection with the Company’s SOX 404 internal controlrequirements. This newly created role reports to the Director ofFinancial Reporting.

Essential Functions and Job Responsiblities:

Manage quarterly and annual financial reporting, as well aspreparation and filing of financial statements in compliance withSEC and

U.S. GAAP

regulations. Understand the implications ofchanges to the Company’s financial statements and general ledgerand the interrelationships of various accounting and reportingsystems. Preparation of financial statements and other requireddocuments in Workiva software. Prepare supporting schedules forfinancial statement disclosures by working with others in theaccounting and finance group as needed. Assist with the Company’squarterly Disclosure Committee process, and preparation and reviewof the Accounting Disclosure checklist. Perform technicalaccounting research as needed. Thoroughly research and document theaccounting for significant or unusual transactions, contracts,etc., as needed. Specific areas of focus will be accountingstandards related to revenue recognition, lease accounting,business combinations, equity-based compensation and equity & debtrelated matters. Assist in the implementation of accountingpolicies, procedures and systems as required, and ensure internalcontrol procedures are adequate, properly documented and regularlyreviewed. Establish and enhance good accounting processes andcontrols. Keep current on new GAAP pronouncements and SEC rules andregulations as they are released and continuously assess the impactto the Company of changing accounting practices and reportingrequirements. Effectively communicate those findings and impact tothe Company to senior management. Manage documentation of internalcontrols over the financial reporting process in connection withSOX 404 internal control requirements. Ensure compliance withpolicies and procedures and identify opportunities to enhanceexisting procedures to improve control, measurement and/orproductivity. Assist with the Company’s financial statement auditand quarterly reviews as required by SEC rules for publicregistrants.

Education & Experience Requirements:

Inaddition to the necessary skills and experience to perform theresponsibilities outlined above, there are a number of traits thata successful candidate will possess. Bachelor’s degree inaccounting and a CPA are required. Minimum of 5-8 years ofaccounting experience; Big 4 public accounting experiencemandatory; experience in healthcare industry is preferred.

Experience in a public company environment needed. Experience andproficiency with Oracle ERP and Workiva software is preferred.

Strong technical knowledge of accounting principles, financialdisclosure requirements and techniques, including SEC rules andregulations. Experience in the preparation and presentation offinancial statements under guidelines established by the SEC andGAAP, including a solid foundation of the financial statement closeprocesses. Strong understanding of an effective and efficientinternal control environment, familiar with COSO and SOX 404.Experience in a dynamic growth environment. Ability to communicateeffectively, both orally and in writing, with all levels of theorganization. Ability to work independently and with directreports. PI404478e53d8b-37456-37791528
