Private Funds Associate We are seeking an associate with 3-6 years of private fund formation experience to join our Financial Services group. Our team represents clients ranging from first-time fund managers to many of the largest money managers in the world. We raise private funds across all major asset classes and strategies, including: private credit, private equity, real estate, buyout, growth capital, secondaries and funds of funds, among others. Additionally, our practice is top-ranked across industry publications, including Chambers USA, Best Lawyers and The Legal 500 US. Salary is $260,000+ commensurate with class year and experience.
We are looking for:
Private fund formation experience, including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
Experience with fund raises from launch to close, including managing the entire project, interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics
Understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act
Direct private funds experience is preferred, but open to strong corporate associates with an interest in private funds work
Large law firm experience preferred; prior in-house or regulatory experience is a plus
