Duties encompass managing diverse finance transactions including cross-border project and structured financings, and debt and equity capital markets transactions. The role involves drafting transaction documentation, conducting due diligence, and negotiating key terms on behalf of clients. Additionally, it requires liaising with local counsel and regulatory authorities across Latin American jurisdictions to ensure transactional approvals and regulatory compliance. In capital markets transactions, the Associate will play a substantial role in drafting key legal documentation such as indentures, securities underwriting agreements, and related legal opinions. For corporate lending transactions, responsibilities include drafting and negotiating loan agreements, security agreements, intercreditor agreements, and associated legal opinions. In project finance matters, the Associate will review Engineering, Procurement, and Construction (EPC) agreements, Operations and Maintenance (O&M) agreements, direct agreements, and guarantees to support the financing structure. This position involves significant interaction with key clients and holds substantial responsibility for transactional negotiations. This position will be filled in New York. In accordance with applicable Pay Transparency Laws, the pay range for this position in this location is $420,000.00/yr. We are not accepting agency submissions at this time.

Juris Doctor degree or LL.M. degree and 3 years’ experience as a Junior Associate or a related occupation drafting and negotiating finance agreements (loan agreements, sponsor support agreements, intercreditor agreements, share and asset pledges, mortgages and trust agreements) ensuring regulatory compliance with authorities across Latin American jurisdictions. Must have a License to practice law in the state of New York. Must have 3 years’ experience with the following: Drafting and negotiating project agreements [EPC, O&M, direct agreements, take or pay agreements], high liquidity bank guarantees and performance bonds. Drafting and negotiating finance agreements (loan agreements, sponsor support agreements, intercreditor agreements, share and asset pledges, mortgages’ and trust agreements) ensuring regulatory compliance with authorities across Latin American jurisdictions. 5% International travel.
