Responsibilities:

Manage Corporate Transactions

• Oversee $5M+ M&A and financing deals, ensuring compliance with 2024 SEC and CT corporate laws. Draft Transactional Documents
• Prepare merger agreements, term sheets, and due diligence reports, streamlining 70% of deals to closing. Advise on Governance
• Counsel clients on board structures and shareholder agreements, aligning with 2025 Delaware Chancery standards. Conduct Due Diligence
• Lead legal and financial reviews for $10M+ transactions, mitigating risks in multi-jurisdictional deals. Mentor Junior Associates
• Guide peers on deal structuring, fostering the firm’s collaborative, collegial culture.
