The Corporate Counsel will provide comprehensive legal support across our business functions, focusing on Contract management, risk mitigation, corporate governance, and employment matters. Reporting to the General Counsel, this role involves collaboration with cross-functional teams to drive business objectives while ensuring compliance with applicable laws and regulations. Key Responsibilities Contract Management and Governance Negotiate, draft, and review standardized customer contracts, SOWs, addendums for software contracts, partnership deals, vendor agreements, and data processing agreements Identify legal and commercial risks, developing solutions to mitigate these while achieving business outcomes. Review and update global transfer pricing agreements as necessary. Collaborate with teams across HR, Accounting, Revenue Operations, and Business Systems to close renewals and sales contracts on time and drive operational efficiencies. Work closely with the accounting and HR teams to manage various compliance items. Legal Risk Management and Compliance Respond to legal demand letters, subpoenas, and lawsuits. Conduct legal research and provide analysis on relevant laws and regulations in multiple jurisdictions. Manage Know Your Customer (KYC) packages and facilitate due diligence processes. Proficiency in conducting comprehensive legal research and analyzing its application to business operations.

Minimum of 3 years of experience as a practicing attorney with a focus on software contract negotiations and corporate governance. Strong knowledge of contract law and corporate governance. Exceptional organizational and multitasking abilities. Ability to perform under pressure and meet deadlines.
