Position Summary:
We are seeking a highly skilled In-House Counsel to join our legal team in Ocala, Florida . The ideal candidate will have a minimum of 10 years of legal experience , preferably with a combination of law firm and in-house counsel experience , and possess deep expertise in Corporate Transactions, Real Estate Transactions, Finance, Construction Law, Contracts and Leases, Land Use and Entitlements, and Hospitality/Entertainment law . This role demands exceptional legal judgment, commercial insight, and the ability to thrive in a fast-paced environment with rapidly shifting priorities . The position reports to the Vice President and General Counsel and involves daily interaction with company ownership .
Key Responsibilities:
Provide strategic legal support on corporate, real estate, and hospitality business matters Draft, review, and negotiate purchase and sale agreements, closing documents, and other transactional contracts Prepare and review due diligence reports , and analyze title commitments, surveys , and related real estate documentation Advise on zoning, land use, entitlements, and regulatory issues associated with development projects Provide legal oversight for construction law matters, including permitting, contractor agreements, and project delivery methods Assist with structuring and executing financing transactions, including debt and equity arrangements Support hospitality and entertainment operations with tailored legal guidance Identify and mitigate legal and business risks Manage relationships with outside counsel when needed Collaborate across business functions to align legal strategies with operational goals
Qualifications:
Juris Doctor (J.D.) from an accredited law school Active and in good standing license to practice law in the State of Florida Minimum 10 years of legal experience , ideally a mix of law firm and in-house roles Demonstrated expertise in: Drafting and negotiating purchase and sale agreements and closing documents Conducting real estate due diligence , including title and survey review Land use, zoning, and entitlement approvals Corporate and real estate law Construction contracts and development Commercial leases and vendor agreements Finance and secured lending transactions Hospitality and entertainment operations Excellent ability to prioritize, manage multiple complex matters, and adapt quickly Strong communication skills and executive presence Proven track record of working effectively with company leadership and ownership
