Job Summary:

Under administrative direction, uses extensive knowledge and skills obtained through education and experience to provide legal advice and counsel involving an assigned Business Unit. Participates in and may lead large or multiple projects with significant scope and impact. Works independently on difficult assignments that are broad in nature requiring originality and ingenuity with appreciable latitude for unreviewed actions or decisions. Provides comprehensive solutions to complex problems. Results are evaluated at agreed upon milestones for effectives in achieving specified results. Extensive contact with internal customers, management and regulatory agencies is required to identify, research, analyze and resolve moderately complex legal issues.

Responsibilities:

Provides legal review and represents the organization in assigned functional area(s).
Reviews legal issues to ensure the organization’s interests are protected.
Coordinates with outside counsel in activities associated with functional area(s) as required.
Drafts documents and performs legal research associated with assigned functional area(s).
Prepares and delivers written and oral presentations to assigned functional area(s) and other business areas as needed.
Maintains currency in legal issues in an assigned functional area(s).
Work with outside counsel in connection with assigned functional area(s) business and specific legal and regulatory issues.
Participate in projects to find solutions, implement processes, and comply with regulatory requirements applicable to the assigned functional area(s) and the organization.
Performs other duties and responsibilities as assigned.
Knowledge of
Concepts, principles and practices of laws and regulations related to assigned functional areas.
Principles of banking and finance and securities industry operations.
Financial markets and products.
Skill in
Performing legal review.
Providing legal representation.
Reviewing potential legal issues related to assigned functional area(s) and providing recommendations for resolution.
Performing legal research.
independently drafting, reviewing and revising, and presenting (orally and in writing) analysis of legal documents to internal customers including management and senior management.
Operating standard office equipment and using required software applications.
Ability to
Maintain currency in legal issues related to assigned functional area(s). Partner with other functional areas to accomplish objectives.
Progressively learn about assigned functional area(s) and other business areas.
Facilitate meetings, ensuring that all viewpoints, ideas and problems are addressed.
Gather information, identify linkages and trends and apply findings to assignments.
Use critical thinking skills to read, interpret, analyze, and apply applicable laws.
Interpret and apply policies and identify and recommend changes as appropriate.
Prioritize and manage multiple priorities in a fast-paced, dynamically changing environment.
Communicate effectively, both orally and in writing, with all organizational levels.
Work independently as well as collaboratively within a team environment.
Handle stressful situations, a heavy diverse case load, and provide a high level of customer service in a calm and professional manner.
Establish and maintain effective working relationships at all levels of the organization.

Preferred:

Experience in reviewing and drafting corporate organizational, governance, and debt documents preferred.
Education
Juris Doctor (JD): Law
Work Experience
