The Role:

As a part of Guardian’s Atlanta-based corporate team, the Assistant Counsel will provide legal and practical advice directly to our pharmacy management teams in multiple locations across the country on a broad range of topics affecting pharmacy operations. The Assistant Counsel will advise on a diverse array of legal issues including healthcare compliance, pharmacy law, contracts, employment law, business insurance, risk management, and litigation. The Assistant Counsel will build relationships with pharmacy management teams to become a “trusted advisor.” The Assistant Counsel will report to the Associate Counsel, but will collaborate with all members of the legal department. The ideal candidate will be a self-starter with strong analytical and problem-solving skills, who is team-oriented and eager to make an impact on the day-to-day operations of a dynamic, growing organization.

Healthcare Regulatory Compliance:

Provide legal counsel to local pharmacy leadership on compliance with federal and state healthcare laws, including HIPAA and privacy laws, fraud, waste, and abuse laws (including the Anti-Kickback Statute and False Claims Act), and state pharmacy laws. Assist with compliance initiatives, including implementation of policies and procedures. Assist with responding to subpoenas, document requests, and other legal and regulatory requests from regulatory entities. Commercial Contract Review and Negotiation Draft, review, and negotiate a variety of contracts, including customer contracts, vendor agreements, service contracts, restrictive covenants, confidentiality agreements, and business associate agreements (BAAs). Identify potential legal risks and provide proactive guidance to mitigate risks in contracting to best protect the pharmacies. Review and negotiate vendor agreements to ensure compliant, consistent, and cost-effective terms for the pharmacies. Assist pharmacies in managing vendor and customer relations and dispute resolution.

Litigation and Risk Management:

Provide legal guidance to Human Resources and pharmacy management on day-to-day employment issues and employment-related agreements. Manage all pre-litigation collections efforts, including investigations and drafting of collection-related correspondence and legal documents. Under supervision of the Associate Counsel, assist with litigation matters affecting the pharmacies, including coordination with insurance brokers and outside counsel. Identify, assess, and communicate legal risks, and provide practical legal guidance to business leaders on decision-making and risk management.

Education:

Juris Doctor (JD) degree from an accredited law school Active license to practice law in

Georgia Knowledge, Skills, and Abilities:

At least 2-5 years of relevant professional experience in-house or as outside counsel, advising corporations in contracting and compliance matters. Experience working directly for, or advising as outside counsel to, pharmacies, pharmaceutical manufactures or suppliers, other healthcare providers is highly desirable. Strong analytical skills, attention to detail, excellent communication and negotiation skills, and the ability to adapt to changing priorities. Excellent written/verbal communication and interpersonal skills, including strong contract negotiation and drafting abilities. Ability to work independently and deliver to deadlines. Ability to solve problems with minimal direction. Proficiency in Microsoft Office products.
