Role:

We are seeking a highly skilled Corporate attorney with a strong background in representing startups, growth-stage companies, and investors in venture capital transactions. This role involves guiding clients through the full lifecycle of corporate transactions, including financings, M&A, and general corporate governance. The ideal candidate will be passionate about working with entrepreneurs, investors, and high-growth businesses in dynamic industries such as technology, life sciences, and fintech.

Key Responsibilities:

Advise founders and emerging companies on formation, corporate structuring, and governance matters. Represent investors and companies in venture capital financings, including SAFE, convertible notes, and preferred stock financings. Lead negotiations, draft term sheets, and manage closing processes for investment rounds. Provide strategic guidance on equity compensation, including stock option plans and incentive structures. Counsel clients on commercial contracts, regulatory considerations, and operational risks. Support clients in mergers, acquisitions, and exit transactions.

Qualifications:

J.D. from an accredited law school and active bar membership in Georgia. 2-6 years of experience working with emerging companies and venture capital transactions. Strong understanding of venture financing structures and corporate governance principles. Excellent drafting, negotiation, and communication skills. Ability to manage multiple transactions in a fast-paced environment and work directly with founders, executives, and investors.
