The ideal candidate will have a strong background in corporate taxlaw, advising on tax-efficient structures for transactions,conducting due diligence, and ensuring compliance with federal,state, and international tax regulations. Key ResponsibilitiesProvide tax structuring and planning advice for M&Atransactions, joint ventures, and corporate reorganizations.
Conduct tax due diligence and assess risks in acquisitions,divestitures, and restructurings. Advise on the tax implications ofstock and asset purchases, cross-border transactions, and privateequity investments. Work closely with corporate attorneys,accountants, and financial advisors to develop tax-efficient dealstructures. Represent clients in front of the IRS and state taxauthorities as needed. Monitor changes in tax laws and regulationsaffecting M&A transactions and provide proactive guidance toclients. Qualifications Juris Doctor (JD) degree from an accreditedlaw school. LL.M. in Taxation (preferred but not required). 3 yearsof tax law experience, with a focus on mergers and acquisitions.
Strong knowledge of federal, state, and international tax lawsrelated to corporate transactions. Experience working with privateequity firms, venture capital, or corporate clients is a plus.
