Shall:

• Review merger and acquisition agreements from an insurance riskperspective.
• Uncover, isolate, and quantify pre-and-post-closingliabilities.
• Verify that liabilities assumption is accurate and based onagreements between parties and stakeholders.
• Validate liabilities offsetting assets and lender insurancerequirements.
• Analyze corporate control change risks.
• Review final insurance and indemnity provisions.
