Full Job Description Role Summary:
We are seeking a kind, hardworking, professional, and collaborative corporate attorney to join our legal team, which comprises members of like character. The ability to actively listen, proactively draw out information from others, and then tailor actions and propose solutions accordingly is key. Under the CLO’s direction, you will perform consultatory and advisory work involving complex and highly critical organizational issues and oversee the legal processes necessary to effect the rights, privileges, and obligations of the organization. This work is characterized by questions which are unique and require a high degree of original and creative legal endeavor for their solution and may require extensive research and technical expertise in areas such as finance or involving matters of critical business operations and importance to CRICO. We work hard but invariably enjoy humor and wit and always support each other.
Responsibilities:
Corporate Legal Matters. Attend to general corporate legal matters. Anticipate internal and external business challenges and provide creative problem-solving solutions to analyze legal and commercial risks while supporting corporate strategy and goals. Triage, prioritize, and manage multiple competing projects and client demands. Contracting. Draft, review, and negotiate contracts (including IT, reinsurance, investment, data use, vendor, and client contracts). Develop, draft, review, and approve legal terms and conditions. Draft new, and update current, contract templates. Lead initiatives to improve contract management processes and ensure alignment with corporate objectives. Insurance Policy Review & Reinsurance Contract Negotiation. Revise insurance policies and draft insurance coverage opinions. Assist in the negotiation and drafting of reinsurance policies. Corporate Governance. Attend to corporate governance matters, including preparation of documentation for board meetings. May be called upon to cover attendance at board/committee meetings or other committee meetings. Privacy Advice. Provide advice and services regarding privacy and security of data (including PHI and PI). Stay updated on privacy laws and help ensure company-wide compliance. Investment Support. Provide advice regarding risks involved in investments in private funds and proposed mitigation measures. Draft and negotiate side letters. Provide general advice to the investment team. IT Security Support. Provide guidance to the IT security team on data security practices to protect sensitive information. Employment Law. Provide advice regarding employment law matters, including in the areas of employee benefits, compensation, and relations. Regulatory Matters. Provide advice regarding regulatory requirements. Legal Research & Analysis. Conduct legal research and analysis, gather facts, apply the law, and provide recommendations and rationale (including potential consequences and relative risks). Departmental Support. Act as a legal liaison to specific departments like Candello, the Patient Safety department (and component Patient Safety Organization), IT, Facilities, Communications, and Human Resources. Assist the Compliance Team. Assist with compliance matters, including research, policy development, and responding to audits/investigations. Draft corporate policies. Litigation Assistance. Assist with litigation-related matters directly involving the company or its employees and/or agents. Special Projects & Strategic Initiatives. Lead special projects and manage functions Lead strategic initiatives to address complex legal challenges and support business growth and improvements.
Legal operations:
Vendor Management:
Manage legal relationships with external service providers. Develop and lead initiatives to optimize vendor management processes.
Legal Technology Management:
Evaluate, implement, and manage legal technology solutions to improve efficiency and quality of service. Lead efforts to adopt innovative technologies that enhance legal operations.
Knowledge Management:
Develop and improve legal standard operating procedures. Implement systems to ensure the retention and easy retrieval of legal knowledge and documentation. Lead initiatives to develop a robust knowledge management framework.
Process Improvement and Optimization:
Continuously evaluate existing legal department operations, identifying areas of inefficiency and risk and implement solutions for optimization. Lead process improvement initiatives to enhance legal operational efficiency.
Cross-Functional Collaboration:
Foster collaboration between the legal department and other business units to ensure integrated and comprehensive legal support across all functions. Lead cross-functional teams to address complex legal challenges. Perform other duties as required by the position.
Qualifications:
Education & Experience:
Juris Doctor Degree 10+ years of experience as a corporate-law attorney Experience as in-house counsel, in a medium- to large-sized law firm, or in an equivalent legal setting Substantial experience drafting, revising, and negotiating contracts Experience in insurance (or other regulated) industry, drafting insurance policies, negotiating reinsurance contracts and private equity investment agreements, responding to 93A demand letters, drafting insurance coverage opinions, and handling employment and data privacy/security matters (preferred) CIPP/US certification (preferred) Must be a member of, and in good standing with, the Massachusetts bar
