Responsibilities Universal Accountabilities + Strong people management skills + Motivated and able to prioritize amongst many tasks of competing importance + Ability to work independently and collaboratively + Customer focused, ability to present complex legal matters simply + Integrity and trustworthiness + Strong attention to detail Specific Accountabilities This role will support enterprise-wide corporate matters, and oversee the Securities & Governance Team, and the Data Privacy and Digital Enablement Team. This role will have significant executive exposure, is a member of the legal leadership team, and will provide critical legal advice and business counsel to all levels of the business on a wide array of sophisticated and complex legal matters. This position is expected to be a key business partner and to contribute to the success of the Company by combining both legal and business expertise and understanding Energizer’s operations and strategic goals. This attorney will have responsibility for managing other attorneys and working effectively across internal functions. The role requires an experienced individual who can provide a top-down perspective while maintaining a sleeves-rolled-up willingness to take on a significant working role in the organization.
Specific responsibilities include:
+ Managing corporate governance and Board of Directors matters, including providing key support for all Board and Board committee meetings; + Advising and counseling management to verify corporate compliance in all areas affecting the business of the corporation, divisions, subsidiaries and affiliates; + Reviewing, advising and leading preparation of the Company’s public disclosure documents, including New York Stock Exchange and Securities and Exchange Commission filings, including Forms 10-K, 10-Q, 8-K, and annual proxy statements; + Management and oversight of the Securities & Governance, and Data Privacy and Digital Enablement legal teams; + Leading and managing all corporate transactions, including Mergers & Acquisitions; + Serving as the Legal Department’s primary contact in providing legal advice to the Corporate Development, Finance, Treasury and Tax functional teams; + Providing legal advice and support with respect to subsidiary structure and legal entity management; What we are looking for + 10+ years relevant experience at a large law firm and/or publicly traded company is required. Prior in-house experience is required + Ability to make solid judgment calls under pressure + Strong team management and leadership skills + Demonstrated ability to collaborate effectively with others in a matrix management structure + Ability to drive process changes, resource efficiencies and manage change in the provision of legal services + Exceptional and demonstrated project management skills + Ability to build positive relationships with senior management and other members of the legal team and to influence outcomes positively + Ability to work independently with minimal guidance and direction + Ability to resolve ambiguities and provide legal guidance in uncertain situations + Strategic thinking to drive efficiencies and provide business advice and solutions Come join us! Total Rewards Package The salary range for this position is USD $182,000.00/Yr. – USD $269,000.00/Yr. Actual base salary offered to a candidate may vary based upon factors including, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location.
