Position Overview:

We are seeking a Private Wealth Legal Counsel with 2-4 years of experience to join our in-house legal team at a leading private markets asset manager. This role will support legal matters related to the firm’s US registered funds including closed-end funds and BDCs. The ideal candidate will have experience with structuring and regulation of funds registered under the Investment Company Act of 1940, as amended (the “1940 Act”).

Essential Job Functions:

Manage day to day questions relating to registered investment companies
Prepare materials for quarterly board meetings for the registered fund directors
Work with the business development team to draft and negotiate distribution agreements
Work with the investment teams to structure deals to comply with 1940 Act restrictions
Build out and manage the RIC compliance program
Draft and review all applicable filings with the assistance of outside counsel
Manage outside counsel on various tasks and projects
Assist in the management of Cayman feeder funds that feed into the 1940 Act funds Qualifications & Skills J.D. from an accredited law school and licensed to practice law in New York, North Carolina or California
2-4 years of experience in registered investment companies with experience in general fund formation and fund structuring
Knowledge of private market investments, alternative funds (PE, VC, real estate), and 1940 Act fund structures
Strong understanding of the 1940 Act and the Advisers Act of 1940
Excellent legal drafting, analytical, and research skills
Ability to collaborate with internal stakeholders including investment teams, business development, fund operations and accounting and compliance professionals
Experience advising on investment structuring related to the 1940 Act
Experience with Cayman feeder funds is a plus but not required
Strong interpersonal and communication skills, with a client-centric approach Salary Range – $150,000 – $200,000 The salary range is an estimate of pay for this position. Actual pay may vary depending on job-related factors that can include location, education, skill, and experience. The salary range does not include any benefits or other forms of possible compensation that may be available to employees.
