The Associate General Counsel will provide broad-based real estate law counseling advice regarding all aspects of Dartmouth’s real estate and construction portfolio, and will assist with managing real estate related administrative proceedings and litigation. The position reports to the AVP of Real Estate and Special Counsel and ultimately to the General Counsel as a member of the Office of the General Counsel team. The Associate General Counsel is charged with providing legal advice and representation in business, financial, regulatory, and other matters, litigation management, policy formulation and training, and oversight of outside counsel, with a primary focus on Campus Services itself and by extension College divisions served by Campus Services.
The successful candidate will:

- Ten years of experience in real estate law in New Hampshire
- Bachelor’s degree and a JD from nationally recognized law school with excellent academic credentials in law school and undergraduate studies

Legal Advice and Representation
- Provides legal advice to Campus Services and other divisional College administrators on a wide variety of real estate and facilities matters including construction, development and capital renewal projects, acquisitions and sales, residential and commercial leases, ground leases, easements and licenses, purchase options, commercial finance, title matters, and related zoning and permitting.
- Drafts and negotiates contracts and provides legal advice regarding negotiation strategy and deal structure for development projects.
- Assists the Office of Gift Planning in the legal evaluation and disposition of real property gifts
- Assists with legal aspects of Board of Trustee reporting, material preparation, and vote creation, in coordination with the Office of the Secretary.
- Assists Office of General Counsel on real estate issues related to DHMC condominium matters.
- With the assistance of outside counsel, assists Project Management Services with standardization of form AIA contracts for Dartmouth construction projects utilizing AIA contracts. Percentage Of Time 60% Description
Legal Compliance and Administrative Representation - Provides legal advice relating to the College’s wholly owned real estate entities.
- Represents, or coordinates representation with outside counsel, the College in proceedings before local planning and zoning boards in in connection with work relating to new construction and capital renewal projects and assists as needed with application materials.
- Provides advice on real property tax related issues, approaches and strategy, exemption filings, abatements, and related matters. Percentage Of Time 20% Description
Litigation Management - On behalf of the Office of General Counsel, manages, with the assistance of outside counsel, College litigation matters relating to real property and facilities owned by the College.
Serves as liaison with outside counsel, coordinates and conducts internal case preparation efforts and research activities, develops strategies, and reviews and authorizes billings for services. Percentage Of Time 5% Description
Policy Formulation; Miscellaneous
- Partners with Campus Services leadership in the formulation and execution of strategies for real property assets managed across multiple College divisions that advance Dartmouth’s strategic, legal, and business interests, and works with others to identify areas of legal risk to address through policy formulation and training. Advises on strategic long-term campus planning and land use efforts.
- Acts as a member of the Office of General Counsel team while supporting the strategic direction and implementation of Dartmouth’s campus stewardship to support the mission of the College through Campus Services.
- Participates in special projects and coordinates resolution of real estate issues within a wide range of College divisions responsible for administration of College real property assets.
Retains and manages outside counsel as needed in all matters of responsible accountabilities. In addition to the above, performs other duties in other legal service areas – including but not limited to litigation management, policy formulation, and leadership – as needed to advance the effective operation of the Office of the General Counsel, as assigned at the discretion of the General Counsel.
