Top investment bank has an opening for an entrepreneurial SeniorCounsel – Structured Notes & Derivatives to provide business unitcoverage with a focus on equity derivatives, margin loans andstructured notes. The Senior Counsel will be solutions-oriented andhave a strong understanding securities laws while structuring andadvising on transactions for the Global Equities and Global IBbusinesses. Description The Senior Counsel – Structured Notes & Derivativeswill be a key member of the investment bank’s legal team with afocus on equity derivatives, margin loans and structured notes,with room to expand into other areas.

Main Responsibilities:

Provide legal coverage to the firm’s US structured notes deskregarding product design, disclosure, distribution and governance.

Draft and review disclosure documents related to structured notesregistered under the Securities Act of 1933 and institutional andoffshore offerings exempt from registration. Draft and reviewtransaction documents for OTC equity derivatives related tostructured note hedging activity and advise on regulatory mattersrelated to such transactions. Provide legal advice to businessleaders within US Global Equities and Global Investment Banking,focused on the structuring of transactions, securities laws andregulatory framework. Provide legal support to the structured notesprogram, advising on all new products, marketing materials,distribution channels, etc. Provide legal advice to derivatives andtrading businesses on OTC equity derivatives transactions. Draft,review and negotiate all agreements, including: OTC equityderivative confirmations, distribution and marketing agreements forstructured notes, listed options execution agreements, etc. Advisethe business on securities law regulatory matters (’33 Act, ’34Act) as they relate to the structuring of transactions. Profile JDfrom US ABA accredited law school 7 years of experience gainedin-house supporting the equity derivatives desk of a majorinvestment bank, with prior experience at an AmLaw 50 firm highlypreferred US State Bar Admission Must be solutions oriented with asecurities law mindset when it comes to advising on the structuringof transactions Experience drafting, negotiating and advising on awide range of equity derivatives and structured notes documentationExperience with and deep understanding of securities laws (’33 Act,’34 Act) in relation to equity derivatives Experience advising onmargin loans and structured notes transactions Strong understandingof ISDA framework Excellent drafting and negotiating skills Abilityto simplify legal advice for multiple stakeholders within a fastpaced business Job Offer Base salary Cash bonus Equity Excellentbenefits Hybrid working model Opportunity for growth 401 (k) PageGroup USA is acting as an Employment Agency in relation to thisvacancy.
