Shall:

Work Closely with Owners,Investors, Attorneys, Finance Executives, etc on projectsprotecting against M&A related tax risks. . Perform contractualand financial evaluations for companies involved in M&A dealsin order to assess acceptable Representations and WarrantiesInsurance coverage related to tax risks. . Support insuring againstadverse outcomes on tax risks. . Analyze and advise on such issuesas: solar and wind farm tax credits, tax-free spin-offtransactions, S-Corp issues, debt versus equity tax exposures,employee retention credits under the CARES Act, state and local taxissues, etc. . Review and assess the tax risks at issue, analyzetax opinions and memoranda, identifying additional informationnecessary to gain comfort with tax positions, verify and confirmloss calculations, confer with outside tax counsel, and interviewpotential insureds about tax risks. . Review, evaluate and presentanalysis of due diligence procedures, operational risks andpotential red flags of mergers and acquisitions deals. .Collaboratively negotiate and develop insurance contract language..

Experience and Education:

. Juris Doctor JD OR Masters of Law LLMTax and 4 years of Mid to Large Corporate Tax experience. . Expertlevel knowledge of Mid & Large Corporate Tax Law. . Ability toassess accuracy of statements and assurances in the representationsand warranties from sellers in mergers and acquisitionstransactions. .
