Duties Under the direction of senior managing associates and partners, operate at a mid-level within the firm’s Insurance group. Advise clients on a wide range of domestic and international insurance and reinsurance transactions, as well as related regulatory matters. Manage traditional corporate and financing transactions for the insurance industry, including mergers, acquisitions, joint ventures, and corporate reorganizations. Assist with the securitization of various insurance products, and novel and innovative transactions, such as redundant life reserve and embedded value securitizations. Mentor junior associates and support staff. Participate in efforts to grow and expand the practice through cross-marketing and other new business initiatives. Education + Experience Requirements JD and 3 years’ experience as a Lawyer, Junior Associate, or Mid-level Associate in insurance Special Skills Must be admitted to practice law in the state of New York. Must have experience in each of the following: 1. Drafting, negotiating, and reviewing transaction documents, including funds withheld coinsurance agreements, modified coinsurance agreements, stock or asset purchase agreements, transition services agreements, administrative services agreements, rollover equity agreements, confidentiality agreements and administration agreements, in connection with mergers and acquisition transactions within the annuity and life insurance industry; 2. Counseling market-leading ($5B+) private equity firms in M&A deals within the insurance industry, including acquisitions and investments in third-party administrators, managing general agencies, and data analytics providers; 3. Drafting, negotiating, and reviewing disclosure and transaction documents in connection with debt and equity offerings for insurance companies and underwriters, including funding-agreement backed notes for life insurance companies; 4. Drafting, negotiating, and reviewing financing documents, including funding agreements and security interest agreements for insurance companies; and 5. Performing regulatory research, advising on discussions with insurance commissioners in various states and conducting state regulatory filings for insurance companies, such as state change of control filings following mergers and acquisition deals.
