Robinson & Cole LLP has an opening for an Associate Attorney – Capital Markets in New York, New York. May work from home up to 2 days per week, as permitted.

Associate Attorney’s job duties include the following: Represent clients and manage comprehensive projects internally and externally with non-U.S. companies and professionals. Coordinate and manage transactions such as initial public offerings, public mergers and acquisitions, equity and debt financings. Draft and review legal and business documents in Mandarin. Advise on comprehensive transaction structure for cross-border transactions. Collaborate with other professionals such as investment banks, accounting firms and investment relationship firms to meet various deadline for transactions. Communicate with regulators and authorities such as the U.S. Securities and Exchange Commission, stock exchanges and Financial Industry Regulatory Authority as needed in connection with transactions. Communicate with and managing relationship with Mandarin speaking clients in writing and verbally. Successful candidates must possess at least Master of Law degree or its equivalent, and at least 4 years of experience as a lawyer or in a related role. Must possess a license to practice law in New York. Must be proficient in Mandarin, including speaking, as well as writing and reading legal documents as part of cross-border transactions and capital markets. Must also possess demonstrable experience or knowledge with the following: U.S.-China cross border mergers and acquisitions, venture financings, and securities offerings; performing IPO work for both issuers and underwriters including drafting registration statements; and advising clients on new business formation and entity choice specially for venture capital, and corporate restructure in cross-border transactions.
