Job Description
Advise a broad group of financial institutions and corporate clients on complex derivative and structured finance transactions, contentious derivatives issues and valuations disputes, and applicable derivative regulations (including Dodd-Frank, EMIR (among others)). Lead negotiations for such complex derivative and structured finance transactions. Conduct legal research, draft complex legal documents, memoranda of law and transactional documents, and keep abreast of regulatory and legal developments as they affect clients. Oversee junior associate attorneys in conducting complex research and analysis, drafting legal documents and memorandums, and performing due diligence investigations. Lead business development initiatives.
Requirements:
Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 3 years of experience in position offered or as an Associate Attorney at an international law firm with annual revenues in excess of $2 billion .•At least 1 year of the required experience must have included: advising financial institutions and corporate clients on the structuring of complex derivative and structured finance transactions (including but not limited to funding agreement-backed repurchase transactions, significant risk transfer trades, loan-linked total return swaps, and inventory monetization transactions); advising financial institutions and corporate clients in their capacities as borrower, sponsor or lender on the structuring of the derivative-aspects of project finance transactions in the energy/infrastructure sector, real estate financings, and aviation financings; assisting in the negotiations for and drafting of transaction documents including ISDA Agreements and related collateral support documentation; preparing conditions precedent documentation (such as, opinions and board resolutions) and other onboarding/KYC documentation; advising clients in relation to political law obligations in respect of lobbying and donation restrictions; managing clerks and other professionals in conducting complex and highly sophisticated research and analysis, drafting of legal documents, and performing due diligence investigations; and reviewing Law Clerks and other Professionals’ work, providing advice, delegating work priorities and assigning tasks to team members.•Must be admitted to practice law in New York State.
In-office presence required 3 days per week; telecommuting permitted for remainder of the week from the Tri-State area (NY, NJ, CT). #
