Attorney – Private Funds Transactions Position Available In New York, New York

Provide advisory legal services in connection with investment management matters with a focus on investor side secondary transactions. Draft organizational documents of Delaware SPVs, letters of intent, non-disclosure agreements, agreements of purchase and sales, transfer agreements and subscription agreements in connection with traditional and managed acquisitions and dispositions of private equity fund interests. Draft and negotiate term sheets, partnership agreements, agreements of purchase and sales and subscription agreements on behalf of lead investors and syndicate investors in connection with GP-led liquidity processes. Draft and negotiate term sheets, partnership agreements and agreements of purchase and sales on behalf of asset managers in connection with GP-led liquidity processes. Negotiate representation and warranties insurance policies on behalf of lead investors in connection with GP-leds liquidity processes. Supervise due diligence in connection with private equity funds portfolio dispositions and purchases. Review fund documents and negotiate and draft limited partnership agreements, subscription documents, side letters and equity commitment letters on behalf of institutional and fund-of funds investors in connection with their co-investments in private equity funds with different strategies. Advise secondaries clients in connection with structuring of traditional and managed acquisitions and dispositions of private equity funds interests, including acquisition SPV(s) structuring and related financing. Review fund documents and negotiate and draft limited partnership agreements, subscription documents, side letters and equity commitment letters on behalf of institutional and fund-of funds investors in connection with their co-investments in private equity funds with different strategies. Review fund documents and negotiate and draft limited partnership agreements, subscription documents and side letters on behalf of institutional and fund-of funds investors in connection with their primary investments in private equity funds with different strategies. Supervise associate attorneys, staff attorneys and legal assistants on variety of secondary transactions, joint ventures and co-investments transactions and primary investments. Assist and coordinate with finance, M&A and tax teams on related matters, including negotiating transactional documents, structuring secondaries transactions, forming acquisition SPVs and blocking entities, and acquisition SPV(s) financing.

Requires Juris Doctor or Master of Laws degree, or foreign equivalent.

Must have 3 years of experience primarily representing secondary clients in connection with all aspects of their business with a particular focus on investor side secondary transactions (including traditional and managed acquisitions and dispositions of fund interests, leveraged and syndicated acquisitions, secondary direct transactions, GP-led liquidity processes, private tender offers, tail-end sales, fund restructurings and fund financing), primary investments and co-investments.

Experience must include:

negotiating GP-led liquidity processes representing sponsors; negotiating transaction documents including term sheets, letters of intent, non-disclosure agreements, representations and warranties insurance documents, sale and purchase agreements, joint venture/partnership documents in connections with secondary transactions; supervising legal teams on secondary transactions; and advising European and U.S. clients with respect to secondaries, primary investments and co-investments.

Must be licensed to practice law in New York.

Up to 5 domestic trips per year for business development meetings.
