Job Description Our client, a large firm in midtown in Manhattan needs (2) Contract Attorneys- Capital Markets with Sr. level experience. The project could last 2-3 months. The capital markets group advises both emerging-growth and public companies, investment banks, SPACs and alternative capital providers. Pay rate – $175 – $225/ph depending on experience

Responsibilities:

Support IPOs, SPAC IPOs and de-SPAC business combinations, follow-ons, registered direct/ATM offerings, PIPEs/private placements.
Draft and negotiate offering documents – registration statements, underwriting agreements, prospectuses, and disclosure schedules.
Advise on SEC, FINRA, stock exchange compliance, public reporting obligations, insider trading, stock repurchase plans, broker-dealer matters, and corporate governance policies.
Provide support for ongoing reporting, governance and stakeholder engagement, often as outside corporate counsel.
Work with sector-specialist attorneys in TMT, life sciences, energy, entertainment, real estate, and financial services.
Conduct due diligence, coordinate internal deal teams, supervise junior associates, and manage external advisors.
Cultivate relationships with issuers, underwriters, financial intermediaries, and investors.

Required Qualifications:

6+ years in Capital Markets
Admitted to the bar in at least one US jurisdiction. NY bar preferred but not required.
Transactional experience in IPOs, SPACs, private placements, or PIPE deals
Solid understanding of securities laws (Securities Act, Exchange Act), listing rules, and compliance frameworks
Experience preparing SEC filings (10-K, 10-Q, 8-K S-1, S-3, proxy statements) and governance documentation
Strong drafting ability and analytical skills; able to manage fast-paced, deadline-driven work
Ideal candidates are barred in NY and willing to come into the NY office on a hybrid basis. Open to remote arrangement especially if one lives outside of the NY tri-state area.
