Represent mega investors, including sovereign wealth funds, pension funds, and other comparable asset owners, on negotiation of terms of primary investments, separately managed account, and fund of one arrangements, globally and across both the public and private markets. Represent mega investors on transactional matters including joint ventures and co-investment transactions globally and across asset classes (in both the public and private markets), in the areas of private equity, infrastructure, credit, royalties, real estate, venture, energy and hedge funds. Negotiate the terms of the applicable limited partnership agreements, limited liability company agreements or equivalents, investment management agreements, guarantees, and side letters. Represent secondary buyers and sellers on the negotiation and execution of secondary transactions, including purchases and sales of fund interests, secondary tenders for fund interests, GP-led fund recapitalizations, NAV financings and preferred equity financings. In connection with representation of secondary buyers and sellers, negotiate purchase and sale agreements, transaction agreements, merger agreements, contribution agreements, omnibus transfer agreements, indentures, note purchase agreements, election materials, consent solicitation statements, assignment and assumption agreements, transfer agreements, and offering memoranda. Represent mega investors in connection with the ongoing management of their investment portfolios, including advising on their rights and obligations relating to such investments. Advise mega investors on advisory committee issues. Supervise junior associates, including the large, global teams necessary for multi-billion dollar transactions involving M&A, funds, tax, CFIUS, regulatory, premerger/FDI and ERISAworkstreams, among others.

Requirements:

Juris Doctor (JD) degree, Master of law (LLM), or foreign equivalent. Must also have 3 years of experience in the position offered or related. Must have 3 years of law firm experience in each of the following: Assisting in the representation of sovereign wealth funds on their investment activities; Reviewing, drafting and negotiating documents in connection with primary commitments to private investment funds, separately managed account and fund of one arrangements, including partnership agreements, limited liability company agreements, side letters, investment management agreements, and subscription agreements; Reviewing, drafting and negotiating documents in connection with joint venture and co-investment transactions, including purchase agreements, contribution agreements, merger agreements, commitment letters, guarantees, partnership agreements, limited liability company agreements, side letters, investment management agreements, monitoring agreements, and subscription agreements; Reviewing, drafting and negotiating documents in connection with secondary transactions, including purchase agreements, contribution agreements, transaction agreements, merger agreements, partnership agreements, limited liability company agreements, commitment letters, letters of intent, guarantees, operating agreements, side letters, transfer/assignment and assumption agreements, investment management agreements, monitoring agreements, election materials, and related marketing materials; Advising mega investors and secondary buyers on compliance and regulatory issues, including under the Advisors Act and applicable securities laws; Assisting in the representation of mega investors in transactional matters, including co-investments, secondary transactions (all of portfolio purchases and sales, fund recapitalizations and structured secondaries), joint ventures, and direct acquisitions. Must be member of the New York State Bar. Must successfully pass pre-employment (post-offer) background check.

Salary:

$310,000 – $365,000 /year. Multiple, full-time openings.
