We are seeking a business and contract lawyer to join the WTWlegal team. The candidate will provide general legal advice andcontracting support, primarily to the Benefits Delivery andOutsourcing businesses within WTW. The candidate should be able toadvise business leaders on risks, provide legal support to new andchanging business initiatives, and independently handle all mannerof contracts, including complicated and non-standard contracts, inan efficient and business-friendly manner. The role is expected towork closely with other lawyers in the Benefits Delivery &Outsourcing (BDO) legal group and to report to the AssistantGeneral Counsel for BD&O. Candidates must have a strongcontracting background. The preferred candidate may also haveknowledge and experience in the employee benefits, healthinsurance, or financial industries. More specifically, knowledge ofERISA, Medicare, banking, insurance and/or privacy laws andregulations would be helpful. The candidate must be comfortableworking directly with cross-functional internal business teams andexternal parties to handle complicated commercial contracts, aswell as a variety of other corporate and commercial matters. Thecandidate must be effective in providing necessary advice andcounseling internal clients in a solutions-oriented,commercial-friendly way. The successful candidate is preferred towork in a hybrid remote-office environment located in Arlington,VA, New York, NY, Philadelphia, PA, or Nashville, TN butexceptional candidates in other US locations will be considered fora remote work arrangement. Responsibilities Draft, review andnegotiate numerous standard and complex corporate and commercialagreements, including services agreements, insurance agreements,benefits administration agreements, business associate agreements,confidentiality agreements, consulting agreements, and vendoragreements. Provide legal advice on new and evolving businessinitiatives. Rapidly assess potential legal risks, benefits andconsequences of decisions, present alternatives and proposesolutions to achieve business objectives while skillfully managinglegal and practical business considerations. Provide daily contractsupport and lead coordination and partnership with cross functionalteams (sales, client management, IT, strategy, marketing, HR,finance, etc.) to achieve business objectives. Develop and maintainproductive relationships with internal and external clients.

Negotiate with other parties and leverage strong organizational andtask efficiency skills to help the team meet contract targets anddeadlines. Provide advice across the BD&O business segments onlegal and regulatory issues related to corporate and commercialmatters. Qualifications Preferred Qualifications JD from anaccredited institution; admitted and in good standing to practicelaw in at least one state. Five to ten years of relevantexperience; prior in-house experience a plus but not required.

Excellent judgment and integrity with the ability tothink strategically and give timely, effective, and practicalgeneral corporate and commercial legal advice. Client service focusand the ability to work efficiently, prioritize workflow, meetdemanding deadlines and manage many projects in a fast-pacedenvironment. Ability to work independently and proactively,including in work-from-home environments. Ability to work andcommunicate with colleagues and business clients in a professional,ethical, and positive manner as a team player. Please note thatsalaries may vary for different individuals in the same role basedon several factors, including but not limited to location of therole, individual competencies, education/professionalcertifications, qualifications/experience, performance in the roleand potential for revenue generation (Producer roles only).Compensation The salary compensation range being offered for thisrole is $160,000.00 to $170,000.00.
