We are hiring a Senior Counsel to provide strategic legalcounsel for
FUJIFILM
Holdings America Corporation (HLUS) and itsink and chemicals manufacturing businesses. Reporting to theDivision General Counsel, Electronics, M&A & AssistantSecretary, the Senior Counsel, will be responsible for handling alllegal affairs relating to the ink and chemicals manufacturingbusinesses and the corporate and transactional matters for HLUS andits subsidiaries. These responsibilities include mergers,acquisitions, divestitures, corporate reorganizations, equityinvestment, corporate governance, and other general corporatematters. - Advise on day-to-day legal affairs,various domestic and cross-border transactions, contracts,compliance, and corporate matters of certain Fujifilm chemicals andink subsidiaries, ensuring operational and regulatory compliance.
- Draft, review, revise, and negotiate a large volume of strategicand complex commercial and manufacturing contracts for chemicalsand ink subsidiaries as well as develop and update standard formagreements and templates of certain Fujifilm chemicals and inksubsidiaries, ensuring alignment with internal corporate policiesand applicable laws.
These include domestic and internationalsupply and distribution agreements, intra-company agreements,toll/contracted manufacturing agreements, quality agreements,partnership, joint venture agreements, joint developmentagreements, technology licensing agreements, SaaS agreements,facilities services agreements, logistics services agreements, realestate agreements, non-disclosure agreements, purchase orders,among others.
- Draft and negotiate strategic and complextransaction documents and develop and update standard formagreements and templates, such as non-disclosure agreement, letterof intent, letter of interest, exclusivity agreement, due diligentrequest list, process letter, non-binding offer, issue list, stockpurchase agreement, disclosure schedules, transition servicesagreement, intellectual property assignment agreement, technologytransfer agreement, asset purchase agreement, bill of sale,assignment and assumption agreement, manufacturing supplyagreement, merger agreement, term sheet, shareholder agreement,voting agreement, intra-company service agreement, joint ventureagreement, loan agreement, promissory note, closing checklist,subscription agreement, investors’ rights agreement, and equityagreement.
- Draft shareholder and board resolutions, meetingminutes, consents, officer’s certificate, secretary’s certificate,stock power, LLC operating agreement, partnership agreement, planof merger, certificate of merger, and amend bylaws for U.S. legalentities, ensuring compliance with applicable corporate governancerequirements.
- Handle and advise on general corporate matters,mergers, acquisitions, divestitures, equity investments,dissolution, and other strategic corporate transactions andreorganizations.
- Prepare and maintain accurate and completecorporate records for domestic and international legal entities incompliance with applicable corporate governance requirements.
- Support antitrust, trade, and environmental compliance,pre-litigation, dispute resolution, government inquiries, andinvestigation, settlement matters, and handle other specializedmatters with the assistance of external counsel resources,effectively minimizing risks while safeguarding Fujifilm’s legalpositions.
- Provide actionable and sound legal advice, preparereports, and make recommendations to management on a variety oflegal issues.
- Monitor legislative and regulatory changes that mayaffect HLUS and its affiliates.
- Provide training to HLUS and itsaffiliates on substantive legal topics, including contracts,antitrust, and other regulations specific to chemicals and inkmanufacturing companies.
- Perform other duties as assigned.
Required Skills/Education:
- Minimum 10 years of relevantexperience in corporate law firms and/or in-house legal department,preferably with a multinational company.
- College degree and jurisdoctorate from accredited law school.
- Licensed to practice law ingood standing under the state bar of the attorney’s work location.
- Legal experience or demonstrated interest in the chemicals or inkmaterials manufacturing industry.
- Proven track record of handlingdomestic and cross-border commercial contracts, general corporatematters, mergers and acquisitions, divestitures, joint ventures,equity investments, dissolutions, and corporate reorganizationstransactions.
- Excellent verbal, written, and presentation skills,including business communications with senior leadership, andability to solve and explain legal issues.
- Demonstrated abilityto work independently and collaboratively and timely completemultiple, concurrent projects with accuracy.
- Ability tocollaborate with multicultural teams and companies operating acrossdifferent time zones; some travel may be requested.
- Strongplanning and prioritizing, organization, communication,multitasking, problem-solving, and interpersonal skills.
- Adept atcollaborating across business divisions, functions, andgeographies, with the ability to engage and communicate withcolleagues at all levels on projects and other cross-functionalmatters while continuing to own and drive them.
