Nashville, TN Position Summary:

Our Firm is seeking candidates for an Assistant General Counsel (AGC) to join the firm’s Office of General Counsel. This will be an “in house” position, devoted entirely to serving as the Firm’s internal counsel, working directly with the firm’s General Counsel and others in the OGC team. This is a team-oriented position, requiring a high degree of collaboration, flexibility, emotional intelligence, and working together with team members in the OGC and with our internal partners to accomplish shared objectives and serve the interests of the Firm. This position is designated as a full-time, in-office role located in our Firm’s office in Nashville, Tennessee. Due to the nature of the role’s responsibilities, remote-work arrangements will not be considered. The AGC will not perform any work for the Firm’s external clients, and this position is not a traditional shareholder-track position.

Essential Functions:

Participate in the development and implementation of risk-management-related process improvement and similar projects, in collaboration with other team members in the OCG and other internal stakeholders. Assist in the review and development of firm’s risk-management and legal-practice related policies. Assist in developing and maintaining a suite of internal guidance memos and resources for the firm’s practicing attorneys. Partner with internal colleagues to develop and extend the firm’s information governance program. Serve as a key representative of the OGC on privacy, data-protection, and information-security teams. Assist with incident response management, in coordination with colleagues in the Information Security and IT teams. Assist the General Counsel on corporate and affiliated-entity issues. Assist the General Counsel in investigating the circumstances giving rise to claims against the firm, including professional liability and employment matters, and assist in the oversight and management of internal and external teams tasked with addressing such matters. Assist in advising and supporting the firm’s client-facing lawyers with professional responsibility and ethics issues, including conflicts issues, engagement letters, outside counsel guidelines, and similar matters. Other responsibilities as assigned by the General Counsel.

Requirements:

Juris Doctor from an ABA accredited law school and an active bar license. Minimum of five years of experience post law school graduation is required. Experience in national or international law firm or in a similarly sophisticated in house law department is preferred. Outstanding academic credentials, analytical ability, and written and oral communication skills. Ability to provide practical legal advice that is informed by the firm’s strategic, business, and professional needs. Highest levels of confidentiality, personal integrity, ethics, and dedication. Detail-orientation and desire for a team-focused working environment. Demonstrated success in working in challenging environments requiring emotional intelligence, tact, and diplomacy. Background in some or all of the following areas is preferred: professional responsibility and conflicts, litigation, compliance and risk management, and project management.
