What you’ll do: The Senior Associate General Counsel -Litigation will oversee and manage all aspects of potential or pending litigation matters and investigations relating to the company, including retaining and managing outside counsel and other third-party experts; assisting with and overseeing any electronic and other discovery; conducting internal investigations into the factual basis for any litigation or investigation; communicating and collaborating with operators and other business partners about any litigation or investigation; devising and implementing strategies to prevent similar litigation matters and investigations; communicating with opposing counsel and/or government investigators, and recommending and negotiating any necessary settlements of any litigation or investigation. The Senior Associate General Counsel -Litigation will provide ongoing and proactive legal guidance and advice to ensure the company is complying with applicable policies, regulations and laws, in part by maintaining an in-depth working knowledge of those policies, regulations and laws and of the existing and planned operations of the company, as well as having collaborative and constant communications with other attorneys within the Legal Department and other business partners within the Managed Care and Revenue Cycle Departments. The Senior Associate General Counsel -Litigation will also assist attorneys and other business partners with the interpretation and negotiation of third-party agreements, including managed care payor agreements.

Responsibilities:

Overseeing and managing all aspects of potential or pending litigation matters and investigations, with a focus on managed care payor disputes and litigation; Retaining and managing outside counsel and third-party experts, including evaluating the expense, effectiveness and quality of their work; Overseeing and managing all aspects of electronic and other discovery, including the implementation of legal holds; Conducting internal investigations of potential or pending litigation matters and investigations, including making recommendations based upon the findings of the investigations; Creating and implementing strategies to prevent the occurrence or reoccurrence of litigation matters and investigations, including educating attorneys and business partners about those strategies; Maintaining an awareness of applicable healthcare policies, laws and regulations and assisting the company in ensuring compliance with those policies, laws and regulations; Providing general legal advice and guidance to attorneys and business partners regarding the interpretation and negotiation of third-party agreements, including agreements with managed care payors; Creating and implementing processes and procedures for the Legal Department, including ones related to legal budgets, reports, requests and discovery; Providing ongoing reports to the VP-L and other attorneys and business partners about potential and pending litigation matters, including proposed strategies for their resolution; Fulfilling other duties and responsibilities assigned or delegated from time-to-time by the

VP Litigation Additional Responsibilities:

Creation and implementation of processes and procedures for the Legal Department Create uniformity, consistency and economies of scale throughout the company in the handling of legal and other matters Address issues such as legal expenses and budgets, billing guidelines, billing rates and engagement letters for outside counsel Legal holds, service of process, subpoenas and requests for information, electronic and other discovery requirements, status and other reports on litigation matters and investigations Electronic storage and organization of legal records and information Education of attorneys and business partners and the development of templates and forms for use by attorneys and business partners in litigation and other legal matters. What you’ll need:

Education:

Juris Doctor (J.D.) Degree.

Experience:

Minimum of 8yrs. experience preferably in a hospital/healthcare environment.

Certifications:

Tennessee (TN) license to practice law.
