This is a fantastic opportunity for a detail-oriented legal professional to support a busy corporate practice and work closely with attorneys on a wide range of business matters.
Key Responsibilities:
Prepare and file corporate formation documents, amendments, mergers, dissolutions, and other entity-related filings with the Secretary of State. Maintain and manage corporate records, including minute books, resolutions, and annual reports. Assist with drafting and reviewing contracts, operating agreements, bylaws, shareholder agreements, and other corporate governance documents. Conduct UCC searches and filings; prepare UCC financing statements and handle related documentation. Support attorneys in due diligence efforts for mergers, acquisitions, and other corporate transactions. Manage closings for corporate transactions, including preparation of closing binders and checklists. Liaise with clients, state agencies, and internal legal teams to ensure timely and accurate documentation and compliance. Track and manage compliance deadlines for various corporate entities across jurisdictions.
Qualifications:
Minimum of 3-5 years of experience as a corporate paralegal, preferably in a law firm or in-house legal department. Strong understanding of corporate entity structures and filings across multiple jurisdictions. Experience with corporate governance, transactional support, and regulatory compliance. Proficiency in legal research tools and corporate filing platforms (e.g., Sunbiz, Delaware Division of Corporations, CSC, or similar). Exceptional organizational skills and attention to detail. Ability to work independently and handle multiple priorities in a fast-paced legal environment. Bachelor’s degree or paralegal certificate preferred.
