Job Description
Position Overview Adams & Martin Group has partnered with a prestigious law firm in Georgia to find an experienced Corporate Paralegal. The ideal candidate will bring a wealth of experience in corporate and securities law, providing essential support to attorneys while maintaining a professional and positive atmosphere. This role requires someone who is highly motivated and can manage multiple tasks efficiently, ensuring compliance with established policies and procedures. Responsibilities Experience forming corporations, LLCs, and limited partnerships, including drafting formation documents, bylaws, organizational minutes, and obtaining EINs. Conducting corporate due diligence. Preparing and filing corporate documents and UCC financing statements. Managing multiple entities, minute books, and corporate records. Drafting board and shareholder resolutions. Preparing documents for transactional closings, including secretary/officer certificates, closing agendas, and obtaining good standing certificates and certified charter documents. Drafting basic corporate documents, agreements, and preparing closing checklists. Handling qualifications, mergers, conversions, dissolutions, and withdrawals, including jurisdiction-specific document preparation and statute review. Conducting lien and judgment searches, determining appropriate search locations, and summarizing results. Familiarity with blue sky research, SEC access codes, Form D preparation, and state securities filings. Knowledge of M&A, public securities laws (’33 Act, ’34 Act), venture capital, and/or private equity placements is a plus. Working independently, meeting deadlines, and collaborating effectively with attorneys, staff, and colleagues.
Requirements Education:
Undergraduate degree and paralegal certificate required; will consider candidates with comparable relevant experience in lieu of a paralegal certificate.
Experience:
Paralegal with at least 10+ years of corporate & securities experience, preferably with a law firm.
Skills:
Excellent verbal and written communication skills, ability to work with individuals at all organizational levels, and capability to organize and prioritize issues and workload. Work Hours Monday – Friday, 1st shift, with a minimum of 3 days per week onsite in the office. Occasionally, the candidate may be called upon to work hours in excess of the normal daily schedule.
