This role requires someone with a strong background in corporate contracts, compliance, and legal support. The ideal candidate will excel in managing legal documentation, ensuring compliance, and collaborating with cross-functional teams to address contractual and regulatory matters. Implement and monitor internal controls to ensure regulatory compliance. Draft and review service agreements, amendments, statements of work, non-disclosure agreements, and terms and conditions. Plan and coordinate the annual SOC audit as part of the internal control team. Maintain corporate documentation with Secretaries of State across multiple jurisdictions. Conduct comprehensive insurance reviews to align with organizational needs. Prepare and file annual corporate reports and trademark registrations when required. Address legal matters and coordinate with external legal counsel as needed. Collaborate with sales and marketing teams to negotiate service contracts and amendments. Communicate special contractual provisions to the implementation team and chargeable service fees to the accounting department. Liaise with the executive committee and various departments regarding contract issues and compliance concerns. 5+ years of experience as a Paralegal with a focus on corporate compliance and contract law. Strong knowledge of business laws and regulations, particularly within the transportation and logistics sectors. Proven ability to draft, review, and negotiate complex legal documents and agreements. Experience managing compliance processes, including audits and regulatory filings. Excellent organizational skills with the ability to maintain accurate records across multiple jurisdictions. Effective communication skills to interface with cross-functional teams and external legal counsel. Proficiency in addressing legal and compliance issues with a collaborative approach. Familiarity with trademark registration and corporate reporting requirements.
