Job Description

Adams & Martin Group is seeking a Corporate Paralegal in St. Louis, MO to support corporate governance, entity management, contract administration, compliance and legal operations. This position requires strong organizational and communication skills, as well as the ability to work independently in a fast-paced environment. Compensation will vary upon years of relevant experience:

Entry:

$45,000 – $55,000

Mid:

$60,000 – $70,000

Senior:

$75,000+

Key Responsibilities:

Prepare and file corporate documents, including entity formations, dissolutions, qualifications, and annual reports across multiple jurisdictions. Maintain corporate minute books, organizational charts, and internal databases. Support board and committee meetings by preparing resolutions, agendas, minutes, and related documentation. Review, draft, and track various types of contracts (NDAs, vendor agreements, consulting agreements). Manage contract lifecycle and assist with execution and archival processes. Conduct legal research and assist with regulatory and compliance projects. Work closely with internal departments (finance, HR, compliance) to gather information and ensure timely filings and responses. Liaise with outside counsel and government agencies as needed.

Qualifications:

Paralegal certification preferred, but not required. 3+ years of experience as a corporate paralegal in a law firm or in-house legal department preferred but not required. Familiarity with corporate governance and entity management software. Excellent attention to detail and organizational skills. Strong written and verbal communication skills. Ability to handle confidential information with discretion. Proficiency in Microsoft Office Suite and document management systems.
