This role involves handling corporate governance matters, preparing transactional documentation, and overseeing regulatory filings with accuracy and professionalism in a fast-paced business environment.
Key Responsibilities:
Prepare, draft, and review corporate documents, including confidentiality agreements, consulting agreements, sales agreements, supplier agreements, and regulatory documents. Provide corporate governance support and serve as the primary organizer and administrator of corporate records, finalizing documents, preparing signature packets, revising documents, and ensuring compliance with data privacy requirements. Coordinate and file documents with state and federal agencies (e.g., Secretary of State, SEC). Monitor and ensure compliance with corporate governance requirements and internal policies. Conduct legal research related to corporate issues, compliance regulations, and contract matters. Maintain confidentiality and handle sensitive information with professionalism and discretion. Revise documents, comments, or markups, and communicate any issues or questions effectively. Perform defined terms and cross-reference checks on complex legal agreements
Qualifications:
Bachelor’s degree in Legal Studies, or Paralegal Studies Certified Paralegal designation from a recognized institution 5 years of paralegal experience, with a strong emphasis on corporate law Proficient understanding of Business Law Experience in handling trademark cases Experience in drafting and reviewing Credit Agreements Proficiency in using legal research tools such as Westlaw and Lexis Capable of working independently Excellent verbal and written communication skills Notary Public certification is a plus. Bilingual in Germany preferred, but not required
