Paralegal Position Available In Berkeley, South Carolina

Description Robert Half is supporting an in-house corporation in the search for a paralegal to join their legal department. The ideal candidate will bring experience in corporate transactions, entity formations, and a strong understanding of legal processes related to tax equity financing.

Responsibilities:

• Assist attorneys in structuring, negotiating, and finalizing tax equity transactions.
• Prepare and file legal documents required for forming entities such as LLCs and partnerships across various jurisdictions.
• Organize and maintain corporate records, including minute books, compliance filings, and organizational documents.
• Conduct thorough due diligence reviews of corporate records, title policies, and third-party reports.
• Manage transaction closing processes, including tracking signature pages and coordinating the execution of closing documents.
• Prepare and review regulatory filings, ensuring compliance with applicable standards.
• Collaborate with internal teams and external stakeholders, including investors, lenders, and outside counsel, to ensure smooth transaction processes.
• Set up and oversee virtual data rooms for document sharing and review.
• Maintain comprehensive records of tax equity portfolios and key transaction documents post-closing. Requirements
• Bachelor’s degree or paralegal certification is required.
• At least 3 years of experience in a corporate or transactional legal setting, with exposure to renewable energy or structured finance preferred.
• Proficiency in entity formation processes, regulatory filings, and document management.
• Strong organizational abilities and a high level of attention to detail.
• Familiarity with Microsoft Office and document management tools such as iManage or SharePoint.
• Experience with tax equity transactions or project finance is highly desirable.
• Understanding of partnership flip structures and tax credit financing is an advantage.
• Capability to manage multiple transactions simultaneously while meeting tight deadlines.
